MACOM Technology Solutions Holdings, Inc. — Form 10-Q Summary
Reporting period: Fiscal first quarter ended December 30, 2016. Results are unaudited and compared with the three months ended January 1, 2016. MACOM reports one segment: semiconductors and modules.
Financial performance
| Metric | Q1 FY2017 | Prior-year quarter | Change |
|---|---|---|---|
| Revenue | $151.8 million | $115.8 million | Up 31.1% |
| Gross profit / margin | $78.5 million / 51.7% | $60.3 million / 52.1% | Margin down 0.4 percentage points |
| Operating income | $10.5 million | $0.2 million | Improved |
| Net loss | $1.0 million | $15.6 million | Loss narrowed |
| Basic and diluted loss per share | $0.02 | $0.29 | Improved |
| Cash from operations | $20.4 million | $15.5 million | Up $4.9 million |
Revenue increased across all three markets: Networks rose 30.5% to $108.4 million, Aerospace and Defense rose 20.3% to $22.0 million, and Multi-market rose 47.9% to $21.4 million. Networks remained the largest market at 71.4% of revenue. The prior-year comparison includes less than a full quarter of FiBest and Metelics revenue, while the current quarter includes full-quarter contributions, so reported growth is not solely organic.
Gross margin was pressured by acquisition integration costs, higher depreciation and lower margins on certain products sold under forward-volume pricing arrangements; lower intangible amortization and acquired-business revenue partly offset these effects. R&D expense increased 19.2% to $30.2 million, primarily due to acquisition-related costs and product development spending. SG&A rose 5.2% to $36.5 million, including $3.5 million in AppliedMicro transaction costs.
Cash, debt and liquidity
- Cash and cash equivalents were $353.9 million at December 30, 2016, up from $333.0 million at September 30, 2016; short-term investments were $23.8 million.
- Operating cash flow was $20.4 million. Investing activities used $4.0 million and financing activities provided $5.0 million; ending cash was $353.9 million.
- Term-loan principal was approximately $590.0 million, with $130 million of revolving borrowing capacity available and no revolver borrowings reported. The loans mature in May 2021; the company reported compliance with its covenants.
- Current assets were $641.8 million and current liabilities $87.1 million. Management said available cash, investments, operating cash generation and revolver availability were expected to meet working-capital needs for at least 12 months.
- The December 2016 headquarters sale-leaseback was accounted for as a financing arrangement, not a completed sale. Approximately $12.2 million of related financing obligation was outstanding at quarter-end; the leases extend 14 to 20 years.
Material changes, outlook and unusual items
- MACOM completed its Applied Micro Circuits Corporation acquisition on January 26, 2017, after the reporting period. Consideration was approximately $761.1 million: $286.2 million cash and 9.9 million MACOM shares valued at approximately $474.9 million. The acquisition was funded with cash and short-term investments. Purchase accounting and pro forma financial information were not yet available in this filing.
- MACOM announced plans to divest or wind down AppliedMicro’s compute business, which it considers outside its strategic focus. The company cautioned that completion, timing, costs and benefits are uncertain.
- Management identified long-term growth drivers including communications infrastructure, optical links and cloud services, defense modernization, and demand for catalog products. No specific quarterly revenue or earnings guidance is provided in the filing.
- MACOM expected another $1 million to $2 million of restructuring costs during the remainder of calendar 2017, mainly associated with Metelics and other actions.
- The $4.8 million warrant-liability fair-value expense reduced earnings but was non-cash and not tax-deductible. Interest expense increased to $7.4 million from $4.3 million.
- Discontinued operations contributed $1.2 million of income, largely consulting-agreement income related to the 2015 Automotive business sale. Additional contingent sale or consulting proceeds were not yet recognized as realizable.
- MACOM obtained a preliminary injunction in its GaN patent and licensing dispute with Infineon. Infineon sought to stay or modify part of the injunction and appealed; MACOM could not reasonably estimate any potential loss and recorded no related accrual.
Risks and investor verification points
- Verify the post-quarter AppliedMicro acquisition’s final purchase-price allocation, ongoing cash and debt position, share dilution, integration costs and realized benefits.
- Track whether MACOM can sell or wind down AppliedMicro’s compute business as planned, and the related operating losses, separation costs and potential liabilities.
- Assess customer and product concentration: the top ten customers accounted for 63% of quarterly revenue, and one customer represented 22%.
- Monitor gross-margin trends, acquisition integration, restructuring and the contribution of acquired businesses versus organic growth.
- Follow the Infineon litigation and the implications for MACOM’s GaN intellectual-property rights, products and potential financial exposure.
- Consider variable-rate debt exposure: management estimated that a 1 percentage-point rate change on constant outstanding debt would change annual interest expense by about $5.9 million.
- Assess risks from technology transitions, product obsolescence, third-party technology licenses—including AppliedMicro’s ARM license rights—and environmental contingencies. The filing reports an Omega Chemical site accrual as not material, while noting that the exposure could change.
