Broadband revenue was $112.8 million in Q2 and $237.0 million for the first six months, representing 55% and 57% of total revenue, respectively. Six-month revenue growth was led by the acquired Wi-Fi and Broadband assets business, with additional improvement in cable front-end, connectivity, wireless backhaul and high-performance analog shipments.

Financial Position, Liquidity and Capital Allocation

  • Cash and cash equivalents were $130.3 million at June 30, 2021, compared with $148.9 million at December 31, 2020. Total cash, including restricted cash, was $131.4 million.
  • Working capital was $166.3 million, up from $128.1 million at year-end 2020. Accounts receivable increased to $135.3 million from $67.4 million, while inventory was $98.5 million.
  • Operating cash flow of $68.1 million was partially offset by $50.9 million of investing cash outflows and $35.1 million of financing cash outflows, resulting in an $18.6 million reduction in cash and restricted cash.
  • Investing outflows included $27.5 million of deferred NanoSemi acquisition payments, $17.3 million of capital expenditures, and a $5.0 million long-term investment.
  • On June 23, 2021, the Company refinanced prior borrowings with a $350.0 million senior secured term loan and established a $100.0 million revolving facility, which was undrawn at quarter-end. The term loan matures in June 2028; quarterly amortization begins September 30, 2021.
  • Debt principal was $350.0 million at June 30, 2021, with a net carrying value of $345.9 million. The weighted-average effective interest rate was approximately 3.2%. The refinancing generated a $5.2 million debt extinguishment loss.
  • The Company repurchased $7.1 million of common stock during the first six months and had approximately $92.9 million remaining under its $100 million authorization.

Material Changes Versus Prior Comparable Period

  • Revenue increased 215% in Q2 and 226% for the six-month period, primarily because the prior-year periods did not include the acquired Intel assets and reflected COVID-19-related supply constraints and customer shipment delays.
  • Gross margin improved by approximately 5 percentage points in both comparison periods, primarily due to improved absorption of acquired intangible amortization costs.
  • Research and development expense increased to $74.4 million in Q2 and $137.6 million for six months, reflecting acquired engineering operations, higher headcount, prototype activity, outside services, bonuses and stock-based compensation.
  • Selling, general and administrative expense increased to $35.9 million in Q2 and $72.4 million for six months, primarily due to the acquisitions and higher compensation-related costs.
  • The Company moved from operating and net losses in 2020 to operating income and modest net income in 2021. The six-month net income improvement was partly supported by a $6.2 million income tax benefit.
  • Accrued price protection liabilities increased to $54.7 million from $47.8 million at year-end, and inventory purchase obligations increased contractual commitments to $578.2 million overall, including $154.7 million of inventory obligations.

Outlook, Commentary and Risks

Management expects revenue and gross margin to fluctuate based on customer demand, product mix, average selling prices, manufacturing costs and macroeconomic conditions. No specific quantitative revenue or earnings guidance is provided in the filing text. Management expects research and development and selling, general and administrative expenses to increase over time as the Company expands its product portfolio, sales organization and market presence.

  • The global semiconductor shortage may continue into 2022 and could limit the Company’s ability to meet demand, increase costs and negatively affect operating results.
  • COVID-19, supply-chain disruptions, trade restrictions, export controls involving China, geopolitical events and customer demand volatility may affect shipments and revenue.
  • The Company relies on a limited number of customers and distributors: the top two customers represented 27% of six-month revenue, the ten largest customers represented 70%, and distributors represented 45%.
  • Approximately 82% of six-month revenue was shipped to Asia, including 40% to Hong Kong and 13% to Vietnam, creating geographic, trade and concentration risks.
  • The acquired businesses remain subject to integration, retention, execution and synergy-realization risks. NanoSemi includes up to $35.0 million of potential contingent consideration, which management currently does not expect to be earned based on its forecast.
  • Goodwill was $302.8 million and intangible assets were $175.0 million at June 30, 2021; future impairment charges could be material if operating performance or valuations deteriorate.
  • The Company’s debt is secured by substantially all assets and carries variable interest rates. The revolving facility includes a secured net leverage covenant, and an event of default could accelerate repayment.
  • The Company believes existing cash and operating cash flow will fund requirements for at least the next twelve months, but a severe supply-chain or pandemic impact, or additional acquisitions, could require additional capital or debt.
  • Management reported effective disclosure controls as of June 30, 2021. Integration of the acquired businesses into internal control systems remains in progress.

Important Facts for Investors to Verify

  • Determine how much of the reported growth is attributable to acquisitions versus organic demand, particularly in broadband and connectivity.
  • Monitor semiconductor availability, supplier capacity, inventory levels, price protection reserves and the Company’s ability to convert demand into shipments.
  • Assess customer and distributor concentration, including the sustainability of demand from the largest customers and Asian markets.
  • Review debt covenants, variable-rate exposure, required amortization and the June 2028 maturity relative to operating cash flow.
  • Evaluate whether acquisition synergies and integration benefits offset higher research, development, operating and amortization costs.
  • Track cash conversion, accounts receivable growth, inventory purchase commitments and remaining NanoSemi payments.
  • Consider potential goodwill, intangible-asset and tax-asset impairments, as well as the continuing valuation allowance on certain deferred tax assets.
