Business context and reporting period
I-Mab (Nasdaq: IMAB), a Cayman Islands holding company focused on clinical-stage cancer immunotherapies, filed this Form 20-F for the fiscal year ended December 31, 2023. It is an annual report, not a standalone fourth-quarter filing; the filing does not provide a clear Q4-only set of financial results. Financial statements are prepared under U.S. GAAP and reported in RMB.
The 2023 financial statements include the Greater China business. The divestiture of those assets and operations closed April 2, 2024, after year-end. From Q2 2024, I-Mab ceased consolidating the divested operations; therefore, management cautions that 2023 results are not indicative of future results. The post-divestiture company is primarily U.S.-based and focused on three clinical-stage assets.

Revenue was too small, and was negative in 2022, so revenue-based margins are not meaningful. At year-end 2023, current assets were RMB 2,336.7 million and current liabilities RMB 411.8 million; total liabilities were RMB 894.8 million and total assets RMB 2,613.0 million. Short-term bank borrowings were RMB 30.0 million. An additional RMB 58.9 million of cash was restricted as collateral for supply-chain financing. Operating lease commitments totaled RMB 50.0 million.
Material changes versus the prior comparable period
- Net loss narrowed to RMB 1,465.7 million from RMB 2,507.3 million, reflecting lower R&D and administrative expenses and a smaller equity-method loss. Operating cash outflow nevertheless increased to RMB 1,305.0 million from RMB 1,102.8 million.
- Revenue swung from negative RMB 221.6 million in 2022 to positive RMB 27.6 million in 2023. The 2022 negative amount chiefly reflected a non-cash RMB 314.2 million reversal of previously recognized AbbVie collaboration revenue after an amendment lowered the probability of a milestone.
- R&D expense fell 10.4%; administrative expense fell substantially, partly due to headcount and share-based compensation reductions and lower professional and legal costs.
- I-Mab recognized a full RMB 162.6 million goodwill impairment in 2023, following AbbVie’s termination of its collaboration agreement, effective November 2023.
- Cash, cash equivalents and restricted cash decreased by RMB 1,110.4 million during 2023. The company repurchased 4,633,386 ADSs during the year for approximately US$8.6 million.
Outlook, commentary, risks and unusual items
- Management expects expenses to decline following the Greater China divestiture and says, based on its operating plan, available cash and cash equivalents should cover anticipated working capital and capital expenditures for at least 12 months. It also expects continued losses and says additional funding may be needed; actual cash use may exceed estimates.
- Divestiture consideration is up to US$80 million, contingent on future regulatory and sales milestones. I-Mab says it will no longer bear future development costs for the divested Greater China portfolio. The consideration is not assured.
- The divestiture extinguished approximately US$183 million of repurchase obligations to participating I-Mab Hangzhou investors. Non-participating investors have commenced arbitration; the company estimates potential remaining repurchase obligations of US$30–35 million. The outcome is uncertain.
- Tracon arbitration rejected its claim for more than US$200 million in damages and confirmed termination of the relevant agreements. I-Mab paid approximately US$22 million in 2023 for the termination fee, interest and agreed legal costs. I-Mab is also pursuing a trade-secret misappropriation lawsuit; the outcome and potential recovery are uncertain.
- Pipeline milestones reported for 2023 included completion of enrollment of more than 200 patients in an uliledlimab Phase 2 study; reported response signals for uliledlimab and givastomig; and early monotherapy efficacy signals for ragistomig. These are investigational assets, and clinical results do not assure approval or commercial success.
- The filing reports that I-Mab believed it was a passive foreign investment company (PFIC) for U.S. tax purposes in 2023 and likely would remain one in 2024, potentially creating adverse tax consequences for U.S. investors. It also discusses China regulatory, data-security, currency-transfer and PCAOB-inspection risks.
- The company corrected figures previously reported in its March 2024 earnings release: reported loss per share and per ADS had been understated by RMB 0.47 and RMB 1.08, respectively, and the goodwill impairment was reclassified to operating loss. The audited filing reports effective internal control over financial reporting and an unqualified audit opinion.
Important facts for investors to verify
- Confirm the post-divestiture cash position, actual cash burn and runway, including which funds are restricted or held in China.
- Track the timing, probability and collectability of the up-to-US$80 million contingent divestiture consideration and the US$30–35 million potential repurchase obligation exposure.
- Review progress, enrollment, safety and efficacy data for uliledlimab, givastomig and ragistomig, and any partnership or financing plans.
- Reconcile the audited 2023 results with the prior earnings release, including corrected loss per share and the goodwill impairment classification.
- Assess the effects of the Greater China divestiture on 2024 reporting comparability, remaining China operations and related regulatory risks.
