Dollar amounts below are in millions.

Financial performance and condition

  • Q2 earnings: Net income was $27.6 million, or $0.62 diluted EPS, versus $16.9 million and $0.38 a year earlier. Results included a $19.4 million pretax gain on the Springstone investment sale and $4.6 million of debt-prepayment penalties.
  • First-half earnings: Net income was $45.6 million and diluted EPS was $1.03, compared with $24.6 million and $0.61 in 2013. Core net income, a non-GAAP measure, was $37.5 million versus $32.1 million; core diluted EPS was $0.85 versus $0.79.
  • Interest income and margin: Q2 net interest income was $62.6 million, up 1.5% year over year; first-half net interest income was $124.1 million, up 9.0%. Fully taxable-equivalent net interest margin was 3.60% in Q2 versus 3.69% a year earlier, and 3.62% for the first half versus 3.68%. Management attributed pressure to lower asset yields, including loan-yield declines.
  • Other income and expenses: Q2 noninterest income was $46.0 million, including the Springstone gain; excluding that gain, it was $26.6 million. Q2 noninterest expense was $62.7 million, including the $4.6 million penalty. First-half noninterest expense was $120.3 million, versus $117.2 million, which included $12.0 million of merger expenses in 2013.
  • Loans and credit: Loans were $5.57 billion at June 30, up $167.7 million, or 3.1%, from year-end (6.3% annualized). The allowance for loan losses was $69.5 million, or 1.25% of loans. First-half provision was $7.8 million versus $12.1 million; net charge-offs were $7.7 million versus $10.2 million.
  • Asset quality: Nonperforming loans were 0.96% of loans, down from 0.99% at year-end; nonperforming assets were 0.70% of assets versus 0.74%. Past-due loans were 0.57% of loans versus 0.77% at year-end. Potential problem loans rose to approximately $97.0 million from $89.9 million, following a downgrade of a large commercial loan.
  • Balance sheet and funding: Total assets were $7.87 billion, up from $7.65 billion at December 31, 2013. Deposits were $6.04 billion, up 2.6%. Short-term borrowings were $534.5 million; long-term debt was $251.1 million; junior subordinated debt was $101.2 million. Stockholders’ equity was $857.1 million, or 10.89% of assets, and the company reported regulatory capital ratios above “well capitalized” thresholds.
  • Cash flow and liquidity: First-half operating cash flow was $43.0 million; investing cash outflow was $157.2 million and financing cash inflow was $138.6 million. Cash and cash equivalents increased $24.4 million to $183.3 million. The company’s Basic Surplus liquidity measure was 8.5% of assets, or about $669 million, above its 5% minimum policy level.

Material changes and unusual items

  • On April 17, 2014, NBT sold its 20% interest in Springstone Financial as part of LendingClub’s acquisition of Springstone, recognizing a $19.4 million gain. Management’s core-earnings reconciliation excluded the gain after tax and related incentive compensation.
  • NBT repaid $165.0 million of long-term borrowings as part of a restructuring strategy. Total associated prepayment penalties were $17.1 million: $4.6 million was expensed in Q2, with approximately $13 million expected to be recognized in Q3 as the strategy is completed. Management expects the completed strategy to reduce the cost of restructured debt by about 200 basis points and improve interest-rate risk.
  • Loan growth and deposits increased, while the company’s reported first-half results also benefited from the Springstone gain and comparison with 2013 merger costs. Core and GAAP earnings therefore show materially different growth rates.

Outlook, risks, and contingencies

  • The filing provides no formal full-year earnings or revenue guidance. Management said continued low rates could further compress net interest margin, with deposit rates near their floors and asset yields continuing to reprice.
  • Interest-rate simulations projected net interest income decreases of 3.06% under a gradual 200-basis-point rise and 1.55% under a gradual 100-basis-point decline, relative to a flat-rate scenario over 12 months; both were within the company’s stated 7.5% policy limit.
  • Management considered the allowance adequate but noted that weaker economic conditions, deteriorating borrower performance, lower collateral values, or revised estimates could require additional provisions. The filing also identifies approximately $97.0 million of potential problem loans and cautions that some may become nonperforming.
  • Credit commitments and unused lines totaled $1.1 billion; standby letters of credit were $38.5 million and commercial letters of credit were $39.2 million. These amounts do not necessarily represent future cash outflows. The company reported no material legal proceedings beyond routine litigation and no material risk-factor changes from its 2013 Form 10-K.

Important facts for investors to verify

  • Reconcile GAAP earnings with core earnings and confirm the Springstone gain, related incentive compensation, and debt-restructuring penalties.
  • Track completion of the debt restructuring, the expected Q3 penalty, and whether the projected reduction in borrowing costs and interest-rate risk materializes.
  • Monitor net interest margin, loan yields, deposit pricing, and the disclosed rate-sensitivity scenarios.
  • Review the $97.0 million of potential problem loans, nonperforming-loan trends, charge-offs, and allowance coverage.
  • Assess whether loan and deposit growth, capital ratios, and the $669 million Basic Surplus remain consistent with the company’s liquidity and risk policies.
