Nephros, Inc. — Q3 2023 Form 10-Q
Reporting period: Three and nine months ended September 30, 2023. Financial statement amounts below are in U.S. dollars; tables reported in thousands are converted to millions where shown.
Business context
Nephros develops and sells water filtration products for medical and commercial markets, including hospital infection-control and dialysis applications, as well as food service and hospitality. It reports one business segment. The company sold substantially all of its Pathogen Detection Systems business in 2022; those results are presented as discontinued operations for the 2022 comparison. Specialty Renal Products (SRP), which had developed a hemodiafiltration system, was dissolved in April 2023. Nephros received SRP’s remaining assets, including intellectual property, in satisfaction of an approximately $1.5 million loan.

Cash and cash equivalents were $4.622 million at quarter-end, up from $3.634 million at December 31, 2022; working capital was $6.678 million. The company reported an accumulated deficit of $143.752 million.

Changes versus the prior comparable periods
- Q3 revenue rose 55% year over year; nine-month revenue rose 48%. Management attributed growth to investment in sales staff and a master distributor, citing core programmatic growth of approximately 42% for Q3 and 34% for the nine-month period.
- Nine-month revenue included approximately $600,000 from an unusually large emergency-response order in Q1 2023.
- Gross margin improved to 59% in Q3 and 58% year to date. Management cited a return to its 55%–60% target range, lower shipping costs, improved inventory management, and 2023 price increases. It attributed lower 2022 margins chiefly to inventory write-downs and higher shipping costs.
- SG&A increased 23% in Q3 and 12% year to date, largely from commissions, added headcount, and bonus accruals. R&D decreased as SRP wound down and investment in water-filter research was slightly reduced.
- Prior-year net losses included PDS discontinued-operation losses, including a $1.395 million impairment charge in the nine-month period, affecting comparability.
Outlook, risks, and notable items
Management believes current cash is sufficient to fund its operating plan for at least 12 months from issuance of the financial statements, citing positive operating cash flow and lower cash burn. It expects to direct capital toward water-filtration product development, marketing, sales, and working capital. This is not a quantified revenue or earnings forecast. If demand or results fall short, management may further reduce discretionary spending, including headcount and R&D.
Nephros has minimum 2023 purchase commitments to Medica of €3.8 million (approximately $4.1 million); aggregate commitments were €4.5 million (approximately $4.8 million) at September 30. The related license and supply agreement expires December 31, 2025. The company said it was in discussions to extend it and expected to complete an extension before expiration.
Customer concentration is material: two customers represented 48% of Q3 revenue and 35% of nine-month revenue. Management also identifies risks involving sustained growth, product liability and regulatory compliance, suppliers and distributors, access to capital, and the ability to sell profitably. No off-balance-sheet arrangements were reported. Management concluded that disclosure controls were effective and reported no material quarterly change in internal control over financial reporting.
Important facts for investors to verify
- Whether reported sales growth, including the emergency-response order, is repeatable and translates into sustained positive operating cash flow.
- Whether gross margins remain near the stated 55%–60% target after inventory and shipping effects.
- How Medica purchase commitments compare with available liquidity, and whether the supply-license extension is completed on acceptable terms before 2025.
- Whether customer concentration changes and whether major customers continue purchasing at current levels.
- Whether management’s 12-month liquidity assessment remains valid if sales, margins, or costs differ from plan.
- Whether Nephros will pursue commercialization of SRP’s HDF intellectual property; the filing says it had no current plans to do so.
