Nephros, Inc. — FY 2015 Form 10-K
Reporting period: Fiscal year ended December 31, 2015; filed March 30, 2016. This is an annual report, and the supplied filing does not provide clear standalone fourth-quarter results.
Business context
Nephros develops and sells water ultrafiltration products and hemodiafiltration (HDF) systems for dialysis and healthcare uses, as well as other markets. Its HDF system is FDA 510(k)-cleared, but U.S. adoption remains limited and evaluations were ongoing. Water filtration products are the more established commercial line.

Product revenue rose to $1.790 million from $0.914 million, while license and royalty revenue fell to $0.154 million from $0.834 million, largely because less Bellco license revenue was recognized. Ultrafilter sales increased approximately 96%. Cost of goods sold rose 61%, outpacing revenue growth and reducing gross margin. SG&A increased 20% to $3.443 million, including severance, audit, marketing and travel costs. R&D spending was $0.826 million.
There was no senior secured debt outstanding at year-end; the 2014 Lambda notes had been repaid. The $7.386 million warrant liability reported at the end of 2014 was extinguished following exercise in 2015. The company reported no off-balance-sheet arrangements. The filing does not identify a separate cash-flow margin measure.
Changes, outlook and key risks
- Net loss improved substantially year over year, but this was driven in part by noncash warrant accounting: a $2.099 million gain from warrant fair-value changes in 2015 versus a $4.277 million expense in 2014. A $1.761 million warrant modification expense partly offset the 2015 gain. Excluding those noncash warrant items, management reported a larger underlying loss in 2015.
- Financing included approximately $1.76 million from Lambda’s warrant exercise, $0.688 million from a warrant exercise offer, and $1.23 million gross proceeds from a private placement. The company also had a Lincoln Park agreement allowing up to $10 million in stock purchases over 36 months, subject to conditions; it had sold $0.135 million of shares under the agreement in 2015.
- Management said these warrant proceeds and projected sales could fund operations at least into the third quarter of 2016, depending on product uptake. The auditor expressed substantial doubt about the company’s ability to continue as a going concern. Additional financing or reduced activity may be necessary; no assurance of financing was given.
- No numerical revenue or earnings guidance was provided. Management’s plans included expanding water-filter sales, developing HDF System version 2.0, and pursuing new product launches and regulatory clearances. These plans depend on market adoption, funding, manufacturing capacity and regulatory outcomes.
- Four customers represented 64% of 2015 revenue; three customers represented 71% of year-end receivables. The company relies on third-party manufacturers and suppliers, including a Medica minimum purchase commitment of €1.2 million for 2016.
- The FDA issued a 2015 warning letter concerning quality-system and medical-device-reporting deficiencies. The company reported corrective actions, and a February 2016 inspection concluded without observations. The warning letter did not restrict shipments. The company also disclosed a prior product recall and historical restatement of financial statements related to warrant accounting; management said the related internal-control material weakness was remediated by year-end 2015.
- Other material risks include recurring losses, limited trading liquidity on OTCQB, potential dilution, Lambda’s approximately 62% ownership, competitive and reimbursement pressures, product liability, and the need to obtain regulatory clearances and market acceptance.
Investor verification priorities
- Confirm current cash runway, operating cash burn, and whether financing beyond the stated third-quarter 2016 horizon was secured.
- Track product revenue, gross margin, customer concentration and collections to determine whether ultrafilter growth is sustainable and economically profitable.
- Verify the status and commercial uptake of HDF evaluations, product launches, and pending FDA submissions.
- Review the remaining Lincoln Park funding availability, potential share issuance and dilution, and Lambda’s control and related-party influence.
- Assess execution of FDA corrective actions, ongoing quality-system compliance, supplier commitments and the remediated financial-reporting controls.
