The nine-month profit reflects a one-time $41.2 million revenue recognition following Minerva’s opt-out from its Janssen agreement; it is not recurring operating revenue. The amount comprised a prior $30 million payment and $11.2 million of previously accrued collaborative expenses forgiven. Q3 remained loss-making. R&D and G&A spending fell year over year, primarily due to lower roluperidone development costs, completion of the MIN-117 Phase 2b trial, lower stock-based compensation, and lower commercial expenses. Investment income also declined to $0.2 million for the nine months from $1.2 million.

At September 30, cash, cash equivalents and restricted cash totaled $32.6 million, versus $21.5 million at year-end 2019. Marketable securities declined from $24.4 million to zero as securities matured or were redeemed. Current assets were $35.0 million and current liabilities $5.4 million, implying working capital of approximately $29.6 million. Total liabilities were $7.2 million; the filing reports no outstanding term loans, which were repaid in 2018. Stockholders’ equity was $58.0 million. Net cash increased $11.1 million in the first nine months, supported by $13.2 million of net financing proceeds, including approximately $12.1 million net from at-the-market share sales.

Material developments and outlook

  • Roluperidone: The Phase 3 study did not meet its primary or key secondary endpoints at Week 12. Neither dose achieved statistically significant, multiplicity-adjusted improvement versus placebo. Management cited a larger-than-expected placebo effect and believes some results, particularly for the 64 mg dose, support further investigation. The open-label extension was expected to finish in Q1 2021. A Type C FDA meeting was scheduled for November 10, 2020 to discuss potential development and regulatory next steps; the filing does not establish what the FDA would recommend.
  • Seltorexant: Following the June 2020 opt-out settlement, Minerva is eligible for mid-single-digit royalties on future worldwide sales in all indications, if any, with no further development-cost obligations to Janssen. No royalty revenue had been reported in the period.
  • Funding and spending: Management said existing cash should cover commitments for at least 12 months after issuance of the statements. Spending was significantly reduced after the roluperidone Phase 3 outcome, so year-to-date cash use is not representative of expected future spending. Management expects continued losses and says additional capital will be needed to fund operations and later-stage trials; financing may be unavailable or dilutive, and operations could be scaled back or discontinued if funding cannot be secured.
  • Risks and contingencies: COVID-19 could disrupt operations, trials, timelines, and access to capital, although it had not materially affected operations to date. The company has no commercial products and faces clinical, regulatory, financing, competition, and intellectual-property risks. Management did not believe pending ordinary-course legal matters would have a material adverse effect. No off-balance-sheet arrangements were reported. Disclosure controls were judged effective as of September 30, 2020.

Key facts for investors to verify

  • FDA feedback and any subsequent company decision on roluperidone after the scheduled Type C meeting.
  • Whether lower spending levels continue, how long available cash supports operations, and the timing and terms of any additional financing.
  • Progress of Janssen’s seltorexant program and whether it generates royalty-bearing sales.
  • Clinical and regulatory status of MIN-301 and any changes to Minerva’s development priorities.
  • The extent to which COVID-19 affects trial execution, timelines, and capital-market access.
