No gross or operating margins are meaningful because the company reported no revenue. Net loss widened by $3.2 million year over year. The $3.4 million increase in R&D was attributed principally to MIN-101 ($1.6 million), MIN-202 ($1.5 million) and employee compensation ($0.3 million). G&A declined about $0.1 million.
Cash increased by $33.7 million in the quarter, primarily from $10.0 million in term-loan proceeds and $28.5 million of net private-placement proceeds. Investing cash flow was approximately $(5,000). The current ratio was approximately 11.9x, based on $52.7 million of current assets and $4.4 million of current liabilities.
Financing, debt and liquidity
- In March, Minerva sold 6.28 million common shares and warrants for gross proceeds of approximately $31.0 million and net proceeds of $28.5 million. The warrants cover up to 6.28 million additional shares, with a $5.772 exercise price and a March 2017 expiration.
- In January, the company borrowed $10.0 million under a facility permitting up to $15.0 million in two tranches. The drawn loan bears fixed interest of 7.05%, is secured by substantially all assets other than intellectual property, and matures in August 2018. Principal repayments are scheduled primarily for 2016–2018. The additional $5.0 million tranche is conditional, including on specified Phase IIa results.
- Management said available cash and the 2015 financing were expected to fund operations through the end of 2016. It also stated that additional capital will be needed to continue operations and fully fund clinical development; financing may not be available on acceptable terms, and operations could be scaled back or discontinued if funding cannot be obtained.
Business developments, outlook and risks
- MIN-101: Phase IIb enrollment in Europe was underway, with topline results expected in the first half of 2016.
- MIN-117: After quarter-end, Minerva extended its MTPC study-initiation deadline from April 30 to June 30, 2015 for an $80,000 payment. The company planned to seek approval for an additional 2.5 mg study arm, begin enrollment in Q2 2015 and report topline results in the first half of 2016. A further extension to April 2016 would require an additional $0.5 million payment.
- MIN-202: Janssen-reported studies showed preliminary sleep-related effects and the candidate was described as safe and well tolerated in those studies. Minerva expected to initiate a Phase IIa primary-insomnia study and a Phase Ib MDD-with-insomnia study in mid-2015. Minerva shares development costs under its collaboration agreement, subject to stated caps.
- MIN-301: The company reported positive preclinical primate-model findings for an analog and expected IND-enabling work to continue through the first half of 2016, with a Phase I study anticipated in the second half of 2016.
- Net loss and negative operating cash flow have been recurring since inception. Key risks include clinical efficacy, safety and enrollment; regulatory and trial delays; dependence on licensors, Janssen and third-party contractors; intellectual-property protection; and the need for future financing. The company reported no material litigation and no off-balance-sheet arrangements.
- The private-placement registration rights agreement could require liquidated damages if registration obligations are not met. The filing also notes potential dilution from the private-placement shares and warrants. Management concluded disclosure controls were effective at a reasonable-assurance level; previously identified control deficiencies had been addressed, except for a significant deficiency related to income-tax disclosure.

- Status and effectiveness of resale registration for the private-placement shares and warrant shares, and any resulting damages or dilution.
- Whether clinical, regulatory or other developments trigger impairment testing for the $34.2 million in-process R&D asset and $14.9 million of goodwill.
