At June 30, 2015, cash and cash equivalents were $21.7 million and marketable securities were $23.1 million, for total cash, cash equivalents and securities of approximately $44.8 million. Current assets were $35.8 million and current liabilities $3.8 million. Total assets were $94.3 million; total liabilities were $25.9 million, including $9.8 million of net notes payable. Stockholders’ equity was $68.4 million. The company reported an accumulated deficit of $87.4 million. No operating margin is meaningful because the company had no revenue.

For the six months, operating cash use was $11.9 million, investing cash use was $23.2 million (primarily purchases of marketable securities), and financing cash provided was $38.3 million. Cash increased $3.2 million to $21.7 million. Comparable 2014 operating cash use was $3.8 million.

Material changes and financing

  • Net loss improved year over year, but mainly because 2014 included substantial noncash stock-based compensation and higher interest expense on convertible notes. R&D spending excluding stock-based compensation increased, reflecting expanded MIN-101, MIN-117 and MIN-202 clinical activity.
  • In March 2015, a private placement of shares and warrants generated approximately $28.5 million net proceeds. It increased shares outstanding and could result in further dilution if warrants are exercised.
  • In January 2015, the company drew $10 million under a loan agreement at a fixed 7.05% rate. The debt is secured by substantially all assets except intellectual property. Interest-only payments run through February 2016, followed by principal and interest; maturity is August 2018. An additional $5 million tranche is conditional on specified clinical milestones.
  • Marketable securities were newly reported at June 30, 2015; they are held-to-maturity corporate debt securities with approximately 10 months’ weighted-average remaining maturity.

Outlook, commentary and risks

  • Management expected available cash, securities and financing to fund operations into the fourth quarter of 2016, but said additional capital would be needed to continue operations and fully fund development. Financing may be unavailable or dilutive; without it, operations could be reduced or discontinued.
  • MIN-101 Phase IIb enrollment was ongoing, with enrollment expected through year-end 2015 and topline results expected in Q2 2016. MIN-117’s Phase IIa trial had begun dosing, with results expected in the first half of 2016. Janssen had initiated a MIN-202 Phase Ib study and was expected to start a Phase IIa insomnia study; readouts were expected in the first half of 2016. MIN-301 remained preclinical, with an IND or European filing planned for 2016.
  • The company reported preliminary MIN-202 sleep-study results, including statistically significant improvement in sleep-onset latency at tested doses and approximately 45 minutes of additional total sleep duration. These were preliminary findings from a small study and are not evidence of approval or commercial efficacy.
  • Key risks include clinical and regulatory failure or delay, limited operating history, continued losses, reliance on licensors and third parties, intellectual-property uncertainty and the need for further capital. Janssen may opt out of further MIN-202 funding at specified milestones; Minerva’s development-cost contributions are capped under the agreement. The filing reported no litigation expected to have a material adverse effect. Management considered disclosure controls effective as of June 30, 2015.
