Operating margin declined to 1.2% from 2.1%, and net margin declined to 0.8% from 1.4%. The effective tax rate was 27.8%, compared with 35.6% in the prior-year quarter, primarily reflecting benefits from the remeasurement or settlement of uncertain tax positions and lower foreign tax rates.

Segment Results

  • North America: Sales declined 13% to $747.0 million, primarily because of lower large-enterprise volume. Gross profit declined 10%, while gross margin improved to 13.7% from 13.3%.
  • EMEA: Sales increased 11% to $386.9 million, but gross margin fell to 12.6% from 14.5% due to sales mix changes, lower hardware volume and reduced partner funding.
  • APAC: Sales increased 22% to $47.7 million. Gross margin declined to 14.7% from 16.2%, partly because a greater proportion of software sales was recognized on a gross basis.

Liquidity, Debt and Capital Resources

  • Cash and cash equivalents were $152.3 million at March 31, 2013, compared with $152.1 million at December 31, 2012.
  • Total debt, including the capital lease obligation, was $61.3 million, down from $80.6 million at year-end 2012. The balance comprised $29.0 million under the senior revolving facility, $32.0 million under the accounts receivable securitization facility and $0.3 million of capital lease obligations.
  • The senior revolving facility had $321.0 million available against a $350.0 million capacity. The receivables securitization facility had $168.0 million available against a $200.0 million capacity, subject to eligible receivables.

  • Accounts payable included $138.1 million related to the inventory financing facility, compared with $116.8 million at December 31, 2012.
  • Cash conversion cycle improved to 25 days from 26 days. Days sales outstanding increased to 82 from 80, while days inventory outstanding improved to 9 from 10.

Material Changes Versus the Prior Comparable Period

  • Consolidated results weakened substantially because of lower North American enterprise demand and lower EMEA gross margins.
  • Selling and administrative expenses decreased 2% to $141.0 million, but increased as a percentage of sales to 11.9% from 11.5%.
  • Severance and restructuring expense increased to $2.7 million from $1.4 million. The 2013 charges related to position eliminations and role realignment in North America and EMEA.
  • Q1 2012 included a $2.0 million bargain-purchase gain related to the Inmac acquisition; no comparable gain was recorded in Q1 2013.
  • Foreign currency translation produced an $8.3 million loss in other comprehensive income, compared with $6.2 million of income in Q1 2012.
  • The company repurchased and retired 344,971 shares for $6.9 million, at an average price of $19.875 per share, under a new $50.0 million authorization.

Guidance, Outlook, Risks and Unusual Items

  • Management stated that first-quarter results were weaker than expected because of continued lower volume in the North American large-enterprise market.
  • Management expects full-year 2013 capital expenditures of $18.0 million to $22.0 million, primarily for IT-system integration and upgrades, including planned APAC deployment in 2014.
  • Management expects operating cash flow and available financing capacity to support anticipated operating needs and strategic investments over the next 12 months. Excess cash is intended for debt reduction, share repurchases, acquisitions and capital expenditures.
  • The business is seasonal, with generally higher sales and profitability expected in the second and fourth quarters. First-quarter results are therefore not necessarily indicative of full-year performance.
  • Tax audits covering years 2006 through 2011 were ongoing. Unrecognized tax benefits were approximately $5.3 million at March 31, 2013, and the potential outcome could materially affect the effective tax rate; the filing does not provide a reasonably possible loss range.
  • The company faces a qui tam lawsuit and related Department of Justice investigation concerning the E-Rate program and its Calence subsidiary. Insight disputes the claims, is seeking dismissal and cannot estimate any potential loss. It is pursuing contractual indemnification for related losses and expenses.
  • Other key risks include dependence on technology partners and partner funding, rapid technology changes, IT-system implementation and disruption risks, competition, economic conditions, contract compliance, cybersecurity, acquisition integration, international operations, tax matters and intellectual-property claims.
  • Disclosure controls were determined to be effective. IT-system upgrades and migrations continued during the quarter, including EMEA deployments and planning for APAC integration.
