Equipment revenue increased 5.7% in the quarter and 0.5% for the half-year; service revenue was the main sales growth driver. Equipment gross margin improved to 28.8% for the quarter and 28.5% for the half-year, from 4.2% and 6.7%, respectively. Management attributed the equipment margin recovery mainly to lower component costs after supply-chain-driven cost increases in the prior-year periods. Service margins were approximately 90%, supported by revenue growth and a greater contribution from fire radios, which carry higher monthly service charges.
Balance sheet, cash flow and liquidity
- At December 31, 2023, cash and cash equivalents were $47.3 million; investments-other, primarily certificates of deposit, were $26.3 million; and marketable securities were $5.3 million. Together these totaled approximately $79.0 million.
- Cash and cash equivalents increased $11.4 million from June 30, 2023. Six-month investing cash outflow was $1.5 million, while financing cash outflow was $5.9 million, including dividends paid.
- Current assets were $149.7 million and current liabilities were $21.2 million. The company reported no outstanding borrowings under its $11.0 million revolving credit facility, which expires in June 2024. Lease liabilities were $5.6 million.
- Inventory, current and non-current combined, increased to $52.6 million from $48.3 million at June 30, 2023. Management cited precautionary radio inventory and purchases of hard-to-source components. Receivables rose to $27.6 million, partly due to initial intrusion-product sales to a large new customer.
Changes, outlook and notable matters
- Management said working capital, operating cash flow and the revolving facility should be sufficient to fund operations for the next 12 months. The filing provides no specific revenue or earnings guidance.
- R&D expense rose 14.4% for the quarter and 7.1% for the half-year, primarily due to compensation increases and additional staff. SG&A increased 11.0% for the quarter and 4.9% for the half-year, including higher legal, advertising and internal-control costs.
- Interest and other income increased, primarily because of higher interest earned on certificates of deposit. The effective tax rate was 13.2% for the quarter and 13.0% for the half-year.
- NAPCO disclosed a putative securities class action filed in August 2023 concerning statements made from November 2022 through May 2023. The company intends to defend the case and had not accrued a liability; potential damages or costs could not be reasonably estimated.
- Management concluded disclosure controls were not effective as of December 31, 2023 because of three previously identified material weaknesses: IT access and change-management controls, inventory reserve forecasting and review, and inventory costing/COGS review. Remediation work was underway, but management said the weaknesses were not yet considered remediated.
- The filing states that inventory-costing weaknesses had overstated inventory and understated COGS, gross profit, operating income, pretax income and net income in the first three quarters of fiscal 2023. Investors should assess how this affects comparison with the prior-year periods presented.
- The company declared dividends of $0.08 per share in August and November 2023 and a subsequent $0.10-per-share dividend payable in March 2024. Hardware sales are seasonal, typically peaking in the fiscal fourth quarter; recurring service revenue is less seasonal. Economic deterioration, housing and construction weakness, supply interruptions, customer credit risk and Dominican peso movements are disclosed risks.
Key facts for investors to verify

- Renewal or replacement of the revolving credit facility before its June 2024 expiration.
- Inventory composition, reserve adequacy and conversion to sales, particularly the $13.3 million classified as non-current inventory.
