Net cash used in financing was $419.4 million, including $250.0 million of debt repayment and $150.0 million of share repurchases under an accelerated share repurchase program. Management reported $700 million of additional borrowing availability at March 31, 2023 and said liquidity sources are expected to cover obligations, capital spending, debt service, and working capital for at least the next 12 months. The $800 million revolving facility matures July 2026; the company was in compliance with its covenants at year-end.

Material changes and unusual items

  • Revenue growth was primarily driven by radio frequency propagation modeling projects for Tier 1 North American service providers; revenue from other service assurance offerings declined. The company attributed $16.4 million of additional product costs to delivering these projects.
  • Operating cash flow fell substantially, with management citing changes in deferred revenue, receivables and unbilled costs, deferred taxes, and other working-capital and non-cash items.
  • Total product backlog declined to $44.4 million from $92.8 million; fulfillable backlog was $41.1 million versus $51.5 million. The company said most deferred revenue associated with the modeling projects is expected to be recognized during FY2024.
  • One direct customer, Verizon, accounted for more than 10% of FY2023 revenue; no customer exceeded that threshold in FY2022.
  • The company recorded $1.8 million of restructuring charges related to department realignment; the related termination benefits were paid during FY2023.
  • A $1.4 million fair-value charge related to a forward contract to purchase Napatech shares was recorded in FY2023. The contract settled after year-end, on April 14, 2023, for $7.5 million and approximately 6.2 million shares.

Outlook, risks and contingencies

The filing provides no specific numerical FY2024 revenue or earnings guidance. Management expects adequate liquidity for at least the next 12 months, while noting that inflation, a potential recession, interest rates, and other macroeconomic conditions could raise funding needs. It plans to continue investing in product development and cost efficiency. Key business priorities include platform innovation, broader software and virtual deployments, expansion in adjacent cybersecurity markets, customer growth, and strategic acquisitions.

Principal risks include macroeconomic pressure on customer IT spending; intense competition and rapid technology change; product quality and cybersecurity vulnerabilities; reliance on certain suppliers; customer and channel-partner execution; international, foreign-exchange, privacy and regulatory exposure; and debt covenant or financing risks. Management said the war in Ukraine and related sanctions had no material effect on FY2023 financial statements; NetScout ceased business operations in Russia.

A long-running patent dispute with Packet Intelligence remains on appeal. Enforcement of the amended judgment is stayed. NetScout said the post-suit and enhanced damages exposure, plus related interest and royalties, remains probable for accounting purposes if it survives the appeal and patent invalidation developments; the company considered pre-suit damages exposure remote. The filing does not provide a clear final amount payable. The auditor issued an unqualified opinion on the financial statements and internal control over financial reporting; revenue recognition, specifically identifying distinct performance obligations, was a critical audit matter.

Important facts for investors to verify

  • How much of FY2023 growth and expected FY2024 revenue depends on the service-provider modeling projects, and whether their delivery costs and recognition timing match expectations.
  • Whether operating cash flow recovers after its sharp decline, and how deferred revenue, receivables, and backlog develop.
  • Customer concentration trends, especially Verizon’s share of revenue, and the continued decline in international sales.
  • The outcome and financial exposure in the Packet Intelligence appeal, including any royalties, interest, or settlement.
  • Use of cash for buybacks versus debt reduction and investment, and the company’s continuing covenant headroom and borrowing costs.
