NextTrip, Inc. — Form 10-Q Summary
Reporting period: Three months ended May 31, 2024. Financial statements are unaudited. NextTrip changed its name from Sigma Additive Solutions, Inc. effective March 13, 2024. The December 2023 transaction was accounted for as a reverse acquisition, so the comparative operating results principally reflect the historical NextTrip business rather than a like-for-like public-company structure.
Business context
NextTrip develops and operates travel booking and media platforms, including its NXT2.0 booking engine, travel websites and planned Compass.TV FAST channel. The company says it relaunched the booking engine in March 2024 and completed the leisure travel website launch in May. It attributes revenue growth in the quarter to the BookIt asset and Expedia integration.

Related-party notes generally carry 7.5% interest; stated maturities include February 28, 2025 for certain notes and October 31, 2024 for the investor note, subject to terms described in the filing.

Changes, outlook and risks
- Management states that cash on hand and anticipated revenues are insufficient to fund operations and estimates it needs at least $5.5 million in net proceeds for the next 12 months. It reports no current financing arrangement and warns that financing may be dilutive or carry onerous debt terms. The filing concludes there is substantial doubt about the company’s ability to continue as a going concern for 12 months from filing.
- After quarter-end, related-party advances continued. As of September 13, 2024, the filing reports $2.732 million of aggregate outstanding related-party advances. The board approved a proposed conversion of at least $1.5 million of notes held by the CEO and chairman into a new convertible preferred series; final documentation and designation remained outstanding.
- Management targeted a fall 2024 launch for Compass.TV and MyBucketList. These are plans, not quantified financial guidance; the filing provides no clear revenue or earnings forecast.
- Nasdaq notified the company of delinquent-reporting noncompliance in June and July 2024. The company submitted a compliance plan in August and requested an extension; it stated the notices did not immediately affect the listing. The company subsequently filed its fiscal 2024 Form 10-K on September 4, 2024.
- Management identified a material weakness in disclosure controls related to insufficient GAAP expertise and concluded controls were ineffective as of May 31. It said it hired a controller, engaged consultants and implemented control improvements, which it reported completed by the filing date.
- Potential dilution is material: authorized common shares increased from 1.2 million to 250 million; 1,345,932 common shares were outstanding at May 31. The filing also lists 630,008 potential common shares from warrants, options and preferred stock, and up to 5,843,993 contingent acquisition shares under the transaction agreement.
