NOVONIX Ltd annual report, Q4 FY2023

NOVONIX Limited — FY2023 Form 20-F Summary

Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone Q4 filing. Financial statements are prepared under IFRS and presented in U.S. dollars. The prior fiscal year-end changed from June 30 to December 31, so some comparative figures relate to a six-month transition period; the filing also supplies unaudited 12-month comparisons.

Business context and results

NOVONIX operates Battery Technology Solutions (BTS), which sells battery-testing equipment and R&D services; Battery Materials, which is developing synthetic graphite anode production; and Graphite Exploration, whose Australian natural-graphite assets are being considered for a strategic transaction. BTS generated all reported customer revenue in 2023. Synthetic graphite and natural graphite sales had not yet generated revenue.

Material changes versus the prior comparable period

  • Revenue increased, reflecting higher BTS hardware and consulting sales, including new and existing customers and price increases.
  • Net loss narrowed against management’s unaudited 12-month 2022 comparison. Lower share-based compensation and administrative costs helped, while employee benefits, R&D, depreciation and borrowing costs increased.
  • Operating cash outflow remained substantial. Cash declined by $20.3 million during 2023; financing inflows included the $30 million LG Energy Solution (LGES) convertible-note issue.
  • Borrowings rose materially following the LGES notes. The notes bear 4% interest, mature in June 2028, and may convert into shares subject to their terms.

Comparison caution: The filing presents both an unaudited reconstructed 12-month 2022 comparison and audited six-month transition-period figures. These bases are not interchangeable; the investor should verify the relevant comparative period when using reported changes.

Outlook, management commentary and key risks

  • Management targeted initial anode-material production at 3,000 tonnes per annum in 2024 and a phased Riverside capacity of up to 20,000 tonnes per annum, with longer-term plans for 50,000 and at least 150,000 tonnes per annum. The filing says significant production and commercialization were not expected before 2025; timing and targets depend on commissioning, qualification, customer demand and funding.
  • The DOE finalized a $100 million grant for Riverside expansion, payable against verified expenses and milestones, with NOVONIX required to match the funding. No grant funds had been drawn by December 31, 2023 or the financial-statement issuance date. Compliance obligations and matching-fund requirements create execution and financing risks.
  • After year-end, Panasonic Energy signed a binding offtake agreement for at least 10,000 tonnes over 2025–2028, conditional on NOVONIX meeting mass-production qualification milestones. Panasonic may reduce the volume by up to 20% or terminate for substantial delay. KORE Power supply commitments and the LGES development agreement also depend on production and qualification outcomes; LGES’s potential purchases require successful development work and a separate purchase agreement.
  • The cathode pilot line was commissioned in 2023. Initial NMC622 full-cell testing was reported as performing in line with leading supplier materials. Commercial-scale performance, cost advantages and customer adoption remain to be demonstrated.
  • Management expects continuing losses and cash requirements during scale-up. The auditor highlighted a material uncertainty that may cast significant doubt on the Company’s ability to continue as a going concern. Additional capital is needed for expansion; availability and terms are uncertain.
  • Significant risks include manufacturing scale-up and furnace commissioning, reliance on limited suppliers and customers, graphite-market pricing and competition, project funding and grant compliance, and execution of customer qualification milestones. Two BTS customers represented approximately 17% and 15% of 2023 revenue.
  • The MDG natural-graphite assets were classified as held for sale after the Company decided to pursue a strategic transaction; no transaction is assured. A separate $3 million Tennessee grant remains conditional on employment targets by March 2026 and may be repayable if targets are missed.
  • Management reported ineffective disclosure controls and internal control over financial reporting at year-end due to unremediated material weaknesses involving segregation of duties and financial-reporting and IT controls. Remediation is ongoing. The auditor’s opinion on the financial statements was unqualified; the auditor did not opine on internal-control effectiveness.
  • The Company reported no material legal proceedings and does not currently intend to pay dividends.

Most important facts for investors to verify

  • Cash runway, forecast capital needs, and the amount and timing of any additional equity, debt, customer or government funding.
  • DOE grant drawdowns, matching-fund capacity, milestone progress and compliance requirements.
  • Riverside commissioning, production yields and costs, customer qualification, and timing of commercial deliveries.
  • Whether Panasonic, KORE Power and LGES commitments convert into firm purchase orders and the resulting volumes, pricing and timing.
  • The basis and consistency of 2022 comparisons, including the filing’s unaudited 12-month figures versus audited six-month transition-period figures; also reconcile the differing net-current-asset figures cited in the filing.
  • Progress in remediating internal-control weaknesses and any changes to the going-concern assessment.
