Revenue rose 130%, driven by new products and custom-label and branded-product activity. Cost of revenue increased 60% to $1.542 million, but higher volume and lower manufacturing labor helped move gross margin from negative to slightly positive. SG&A rose 29% to $2.548 million, primarily reflecting professional and administrative costs associated with the public offering and Nasdaq listing. Net loss included $1.930 million of interest expense and $275,000 of debt-forgiveness income.

At year-end, cash was $13.350 million, current assets were $13.927 million and current liabilities were $2.888 million, yielding working capital of about $11.0 million versus a $970,000 deficit in 2020. Financing activities provided $16.340 million, including $13.471 million net from common-stock issuance and $2.957 million from convertible notes. The December 2021 public offering raised approximately $14.2 million gross and $13.2 million net.

Balance-sheet liabilities totaled $4.898 million, including $2.037 million of current convertible notes, $276,000 of notes payable and $1.951 million of operating lease liabilities. The company reported $318,000 of warrant liability. The Auctus secured convertible note was repaid, including principal and interest, on March 15, 2022, after year-end.

Material changes versus the prior year

  • Revenue increased from $674,000 to $1.551 million; custom and white-label finished-goods revenue was $492,000 in 2021 versus none reported in 2020, while branded consumer products revenue rose to $194,000 from $42,000.
  • Cash increased from $32,000 to $13.350 million, principally due to the December public offering and debt financing. Working capital improved from a deficit to a substantial surplus.
  • Net loss widened to $4.310 million from $2.264 million; operating cash use also increased to $2.753 million from $1.801 million.
  • The company listed common stock and warrants on Nasdaq in December 2021 and completed the reverse stock split in November.

Outlook, commentary and risks

Management said the year-end capital raise provided sufficient capital to maintain the company as a going concern, but expects near-term losses to continue. It plans to grow contract manufacturing, expand consumer and white-label products, develop proprietary medical devices and explore drug-delivery programs. No quantified revenue, earnings or margin guidance was provided. Management said additional debt or equity financing may be needed to pursue growth or acquisitions.

  • Customer concentration is significant: three customers generated 42% of 2021 revenue. Sales are generally purchase-order based, with no minimum-purchase commitments or customer contracts.
  • The consumer business relies heavily on Amazon for sales and distribution. The company also identifies limited sales and marketing capacity and competition from substantially larger businesses.
  • Raw-material availability, including reliance on principal polymer suppliers, could disrupt production or increase costs. The filing also cites COVID-19, shipping constraints and geopolitical conditions as risks.
  • NEXDrape remains in development; the company intended to seek FDA 510(k) clearance and states approval is not assured. NEXDerm is also under development. Management generally intends to seek licensing or partnerships rather than commercialize medical devices itself.
  • SilverSeal study results and potential product claims carry validation and publication caveats; the scar study had been submitted for peer review, with publication not assured.
  • The notes describe a full valuation allowance against deferred tax assets. The auditor issued an unqualified opinion on the financial statements but did not provide an internal-control attestation. Management reported disclosure controls were effective.

Important facts for investors to verify

  • Whether revenue growth can continue and improve gross margins, particularly given customer concentration and purchase-order-only sales.
  • Cash-burn rate and funding needs relative to management’s expectation of continued losses; confirm the post-year-end repayment of the Auctus note and remaining debt obligations.
  • Potential dilution: the filing reports 3,637,190 warrants and 434,939 options outstanding at year-end, in addition to convertible-note conversion rights. Review exercise prices, conversion terms and subsequent changes.
  • Commercial progress, regulatory pathway and evidence supporting claims for SilverSeal, NEXDrape and other pipeline products.
  • Resolve a lease-term inconsistency in the filing: the properties discussion gives a January 2026 expiration, while the lease note describes a lease running through January 2031.
