NXP Semiconductors N.V. — 2017 Form 20-F Summary
Reporting period: Fiscal year ended December 31, 2017. This is an annual report, not a standalone fourth-quarter filing. Amounts are in U.S. dollars unless noted. Financial statements use U.S. GAAP and were audited by KPMG.
Business context
NXP develops high-performance mixed-signal semiconductors and related solutions for automotive, secure identification, connected devices, and communications infrastructure. It completed the sale of its Standard Products (SP) business on February 6, 2017; results include SP through the sale date. HPMS was the company’s sole reportable segment after the divestiture.

Revenue fell 2.5%, principally reflecting the SP divestiture. HPMS revenue rose 8.1% to $8.745 billion: automotive revenue increased 11% to $3.762 billion and Secure Connected Devices revenue increased 21% to $2.587 billion; Secure Identification Solutions declined 29% to $523 million. Gross margin improvement reflected stronger operations and product mix, and the absence of a $448 million Freescale purchase-accounting inventory charge recorded in 2016. Operating income and net income also benefited materially from the SP sale gain, so reported earnings are not solely reflective of recurring operations.
The company reported a $483 million income-tax benefit, including a provisional $734 million benefit associated with U.S. tax reform. The filing says the tax-reform estimate remained subject to further analysis and guidance. Financial expense was $366 million, down from $453 million, mainly due to lower interest expense after debt repayments. Cash from investing activities was $2.072 billion, largely reflecting SP-sale proceeds; financing activities used $2.886 billion. NXP repaid its term loans and redeemed $500 million of 2021 notes during 2017. The $600 million revolving credit facility was undrawn, and reported available liquidity including it was $4.147 billion. Management believed liquidity sources were sufficient for operations, capital spending, and debt service for at least 12 months.
Material changes and unusual items
- SP sale generated $2.6 billion of net cash proceeds and a reported gain of $1.597 billion. The segment contributed $118 million of revenue in 2017, versus $1.220 billion in 2016, primarily because it operated for only part of 2017.
- The February 2018 Qualcomm offer amendment raised the cash offer to $127.50 per NXP share, estimated at $44 billion total consideration, and reduced the minimum tender condition from 80% to 70%. Closing was expected in the first half of 2018, subject to regulatory approvals and other conditions; it was not completed as of this filing.
- Qualcomm deal-related expenses were $59 million in 2017. If NXP terminated the agreement in specified circumstances, it could owe $1.25 billion; in specified circumstances, Buyer could owe NXP $2 billion.
- The December 2017 U.S. Tax Cuts and Jobs Act effects were provisional. The company recorded a $121 million fourth-quarter tax expense adjustment relating to transfer pricing and purchase accounting.
- Goodwill was $8.866 billion and identified intangible assets were $5.863 billion at year-end. NXP recorded $23 million of intangible-asset impairment charges; it reported no goodwill impairment in 2017.
Outlook, risks, and contingencies
The filing describes growth opportunities in automotive electronics, connected devices, security, and data infrastructure, but does not provide a clear quantified 2018 revenue or earnings forecast. Management cited semiconductor-market cyclicality, customer demand and inventory variability, price erosion, competition and product-development execution as significant business risks. Other material exposures include reliance on key customers and distributors, manufacturing and supplier disruptions, currency and tax uncertainty, cybersecurity, intellectual-property disputes, environmental obligations, and pension funding.
At December 31, 2017, the company accrued $104 million for current and potential legal proceedings. It estimated reasonably possible losses above accruals could range from zero to $277 million, with possible insurance reimbursement of up to $204 million; outcomes and estimates remain uncertain. Environmental remediation liabilities were $89 million. NXP also reported a $456 million net accrued defined-benefit pension liability. The filing states that disclosure controls and internal control over financial reporting were effective at year-end.
Key facts investors should verify
- Whether the Qualcomm tender offer closed, and the final consideration and any related transaction costs or termination payments.
- How much of 2017 operating income and EPS reflects the SP-sale gain and provisional tax-reform benefit versus ongoing operations.
- Whether U.S. tax-reform estimates and the related $734 million benefit were revised after additional guidance or analysis.
- Whether HPMS growth—particularly automotive and connected devices—continued, and whether identification weakness or SP-related service revenue affected comparisons.
- Debt maturities, cash usage, and post-year-end repayments: the filing reports subsequent redemptions of $500 million of 2023 notes and $750 million of 2018 notes in April 2018.
- Developments in legal claims, environmental remediation, and pension obligations, including any changes to estimated exposures or insurance recoveries.
