Orchestra Biomed Holdings, Inc. annual report, FY2023

Orchestra BioMed Holdings, Inc. — FY 2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023, compared with FY 2022. The company completed its SPAC business combination on January 26, 2023; the filing accounts for it as a reverse recapitalization. Results are for a clinical-stage biomedical innovation company whose principal programs are developed with Medtronic and Terumo.

Business context and pipeline

Orchestra’s lead candidate, BackBeat CNT (also called AVIM therapy), is intended to lower blood pressure through pacemaker algorithms and is partnered with Medtronic. Virtue SAB is an investigational sirolimus-delivery balloon for artery disease, partnered with Terumo. FreeHold surgical retractors generate limited product sales. The company has no approved commercial product from its lead pipeline programs.

Revenue was mainly partnership revenue recognized over time from Terumo’s upfront payment; no Medtronic revenue or Terumo royalties had been recognized through year-end. FreeHold product sales generated approximately $0.47 million of gross profit before other expenses (about 72% of product revenue); this is not a consolidated gross margin measure.

At December 31, 2023, cash and cash equivalents were $30.56 million and short-term marketable securities were $56.97 million, totaling $87.53 million. Total current assets were $89.11 million and current liabilities $11.21 million. The $10 million Avenue loan was repaid in October 2023, leaving no loan payable at year-end. Deferred revenue was $17.43 million, including $2.51 million classified current. Stockholders’ equity was $68.04 million; accumulated deficit was $248.85 million.

Management estimates available cash, securities and potential future proceeds could fund operations into the second half of 2026, subject to clinical spending, financing and other assumptions. Separately, management concluded funding was sufficient for at least one year after the financial statements’ issuance date for its going-concern assessment. The company reported no dividends and no material legal proceedings.

Material changes and notable items

  • Revenue declined 22% year over year while total expenses rose 50%; net loss widened by $15.51 million. R&D increased 54%, primarily reflecting personnel, nonclinical work and clinical programs. SG&A increased 44%, including public-company, legal, finance and stock-compensation costs.
  • Operating cash use increased to $46.13 million. Financing provided $46.22 million, principally from $56.81 million of net business-combination proceeds, partly offset by $10.85 million of debt repayment and related costs. Investing activities provided $10.69 million, primarily from net sales of marketable securities.
  • BackBeat’s FDA-approved IDE enabled its global pivotal study; the first patient was enrolled and randomized in late December 2023. The planned study targets approximately 500 patients, with a three-month primary efficacy endpoint and blinded follow-up through 12 months.
  • Virtue SAB’s U.S. ISR pivotal study was not initiated. Orchestra says it is waiting for a satisfactory Terumo agreement restructuring and is reviewing study design after FDA approval of Boston Scientific’s AGENT paclitaxel-coated balloon. Two $5 million Terumo milestone target dates had passed unmet; the company said it was unlikely to meet remaining time-based milestones associated with $25 million. Terumo may have termination rights for certain missed milestones.
  • Terumo-agreement cost estimates increased about 14% in 2023; the revised estimate reduced 2023 partnership revenue by $1.7 million. The related combined performance obligation is currently estimated to continue through 2029.
  • FY 2023 included $3.85 million of net interest income, a $1.15 million debt-extinguishment loss, and a $0.29 million warrant-liability fair-value loss. Legacy Orchestra warrant liabilities were reclassified to equity at the business-combination closing.
  • The company issued 3,999,987 earnout shares after a stock-price milestone was met in April 2023. As of March 22, 2024, 35,777,412 common shares were outstanding; holders of about 47.9% were entitled to registration rights. Potential resale supply and warrant exercise may affect trading and dilution.

Outlook, commentary and principal risks

Management prioritizes BackBeat and its pivotal study and reduced planned 2024 Virtue SAB spending while the Terumo agreement and trial design remain unresolved. The company expects BackBeat expenses to rise as clinical work progresses. It may need additional financing earlier than projected; potential Terumo payments, strategic-asset sales and warrant proceeds are uncertain, and management excludes warrant proceeds from liquidity projections.

Clinical efficacy and safety remain unproven for the pivotal programs. Earlier BackBeat studies were small pilot studies; the reported long-term follow-up involved 16 patients. Virtue SAB’s pivotal study is delayed amid funding, regulatory, manufacturing and competitive considerations. Other key risks include dependence on partners and third parties, limited or single-source supply for important materials, regulatory and reimbursement uncertainty, possible adverse events, competition, intellectual-property protection, and the potential dilution or share-price pressure from resales and future financing.

The independent auditor issued an unqualified opinion on the consolidated financial statements. Management stated that disclosure controls and internal control over financial reporting were effective as of year-end; the auditor did not attest to internal-control effectiveness, consistent with the company’s emerging-growth-company exemption.

Investor verification priorities

  • Track BACKBEAT pivotal enrollment, site activation, safety, endpoint results and funding needs against the stated runway.
  • Verify whether Orchestra and Terumo restructure their agreement, how much additional capital is committed, and the status and consequences of missed milestones.
  • Confirm the revised Virtue ISR-US study design, timing and competitive positioning following AGENT’s approval.
  • Assess cash burn, marketable-security balances, forecast assumptions and whether additional capital is needed sooner than management estimates.
  • Evaluate the quality and durability of clinical evidence, including sample sizes, final data verification and safety outcomes.
  • Review registration-rights resales, lock-up expirations, warrants, equity awards and resulting potential dilution or market overhang.
