  • Net asset value was $1.524 billion, or $18.72 per share, versus $19.63 per share at September 30, 2023. Quarter-end market value was $19.66 per share.
  • Debt principal outstanding was $1.680 billion: $730 million under credit facilities and $950 million of unsecured notes. Net debt-to-equity was 1.02x and asset coverage was 188.04%. The $300 million 2025 Notes mature in February 2025.
  • Cash and cash equivalents plus restricted cash totaled $137.5 million, including $12.5 million restricted. Undrawn credit-facility capacity was $887.5 million, subject to borrowing-base and other limitations.
  • For the six months, operating cash flow was negative $16.5 million, financing cash flow was positive $8.5 million, and cash and restricted cash declined $8.0 million. Cash distributions paid were $89.8 million.

Material changes versus comparable periods

  • Quarterly investment income decreased 2.4%, and net investment income fell $4.6 million. Management attributed this mainly to lower interest income, including less purchase-premium acceleration on an investment exit, and higher net expenses.
  • Six-month investment income increased 9.4%, mainly from higher base rates on floating-rate assets and a larger portfolio. Net investment income rose only $0.8 million as net expenses increased 17.5%, primarily because of higher interest expense and average borrowings.
  • Interest expense was $31.9 million for the quarter, versus $27.8 million, and $64.1 million for six months, versus $48.5 million. Unrealized depreciation and realized losses were both greater for the six-month period than in 2023.
  • OCSL issued 3.975 million shares through its at-the-market offering during the six months, generating $78.3 million net proceeds at an average gross sales price of $19.94 per share.

Outlook, risks and unusual items

  • Management cited inflation, elevated interest rates, possible economic slowdown and geopolitical conflicts as sources of market and portfolio uncertainty. It said it is monitoring impacts and believes liquidity and capital resources are sufficient for investment opportunities; no earnings or investment guidance was provided.
  • Five investments were on non-accrual at March 31, representing 4.3% of debt investments at cost and 2.4% at fair value, compared with four investments and 2.4% and 1.8%, respectively, at September 30. PIK interest was $4.8 million for the quarter and $8.7 million for six months; PIK accruals may not ultimately be collected.
  • Most investment values are inherently judgmental: $2.667 billion of investments were classified as Level 3. The filing cautions that estimated fair values may differ materially from proceeds ultimately realized.
  • About 85.4% of debt investments at fair value were floating rate. OCSL estimates a 100-basis-point rate increase would raise annualized net assets from operations by approximately $11.7 million before potential incentive fees, assuming no portfolio or capital-structure changes; a 100-basis-point decrease would reduce them by approximately $11.8 million.
  • Unfunded commitments were $236.2 million, including $209.1 million to portfolio companies; approximately $179.0 million of that company-level amount could be drawn immediately. OCSL reported compliance with credit-facility financial covenants and no material pending legal proceedings or material risk-factor changes.
  • After quarter-end, the board declared a $0.55-per-share distribution payable June 28, 2024. Oaktree agreed to additional fee waivers, totaling $1.5 million for each of the March and June quarters; from July 1, 2024, the base management fee rate is to be 1.00% of applicable gross assets, net of previously waived fees.

Important facts for investors to verify

  • Whether portfolio marks, non-accrual exposures and any further restructurings affect NAV, cash interest collections or recoveries.
  • OCSL’s refinancing or repayment plan for the $300 million 2025 Notes and its borrowing-base availability under credit facilities.
  • Whether investment income and cash generation continue to cover distributions, interest expense and management fees, particularly if rates decline.
  • The effect of share issuance and fee waivers on per-share results, and the final taxable income and distribution characterization for the fiscal year.
