Product revenue growth was driven primarily by a $13.4 million increase in consumables revenue as the installed console base expanded. This more than offset a $3.3 million decline in console revenue, including lower leasing revenue and fewer consoles sold. Service revenue benefited from the larger installed base.
Gross-margin improvement reflected manufacturing cost reductions, higher average selling prices and a greater contribution from consumables. Operating expenses increased 11% to $198.8 million, including research and development of $57.3 million, sales and marketing of $96.2 million and general and administrative expense of $45.2 million. The filing does not provide a clear non-GAAP profitability measure.
Liquidity, cash flow and debt
- At December 31, 2023, cash and cash equivalents were $68.5 million, short-term investments were $134.8 million and restricted cash was $3.3 million, for total cash, cash equivalents, restricted cash and short-term investments of $206.7 million.
- Operating cash burn was $131.4 million. Capital expenditures were $3.4 million.
- Accounts receivable were $33.0 million and inventory was $49.2 million at year-end.
- Term-loan principal outstanding was $133.5 million at December 31, 2023, with $130.1 million reported net of debt discount. No amounts were outstanding under the revolving facility.
- In January 2024, the Company borrowed an additional $66.5 million, bringing SLR term-loan principal outstanding to $200.0 million as of the filing date.
- The SLR term loans bear interest at one-month term SOFR, subject to a 2.75% floor, plus 5.15%, and mature November 1, 2027. The facilities are secured by substantially all Company assets, including intellectual property, subject to exceptions.
- Management stated that existing liquidity, expected cash from sales and debt proceeds should fund anticipated needs for at least 12 months from the filing date, but also stated that it expects continued operating losses and may require additional capital.
Material changes versus 2022
- Revenue increased 13%, while the revenue mix shifted toward recurring consumables and service revenue. Consoles represented 47% of revenue in 2023 versus 56% in 2022; consumables represented 32% versus 25%; and service and other represented 21% versus 19%.
- Gross margin improved substantially to 22.2% from 15.5%, but the Company remained deeply loss-making because operating expenses continued to exceed gross profit.
- Interest expense increased to $12.7 million from $3.6 million because of higher interest rates and a full year of SLR term-loan borrowings.
- Operating cash burn improved from $145.7 million to $131.4 million, but remained substantial.
- The Company completed a restructuring plan begun in the fourth quarter of 2023 and recorded $2.5 million of severance-related restructuring charges. Approximately $0.9 million remained accrued at year-end.
- Manufacturing of consoles and most cartridges continued to shift in-house to the Tijuana, Mexico facility, with ongoing reliance on contract manufacturers and single-source suppliers for certain components.
Guidance, outlook and management commentary
The filing does not provide clear formal revenue, margin or earnings guidance. Management expects continued investment in acute-care adoption, expansion of home dialysis, product development, manufacturing cost reductions, consumables growth and lower service costs. Management expects gross margin to improve over the long term if these initiatives succeed, but acknowledges that quarterly margins may fluctuate.
Beginning in the third quarter of 2023, customers increasingly deferred Tablo purchases and installations because of rising interest rates, cautious capital spending, staffing shortages and tighter hospital budgets. These factors lengthened sales cycles and adversely affected bookings and revenue in the second half of 2023; management expects the negative effects to continue into 2024.
Medicare’s 2024 ESRD bundled base reimbursement rate increased to $271.02 from $265.57 in 2023. However, the Company’s two-year capital-related TPNIES eligibility for Tablo home equipment expired December 31, 2023, creating potential pressure on home-dialysis economics and adoption.
Regulatory, contingent and unusual items
- In July 2023, the FDA issued a warning letter concerning website content that allegedly promoted CRRT outside Tablo’s cleared indications and the marketing authorization for TabloCart with Prefiltration. The Company paused distribution of TabloCart with Prefiltration and submitted a 510(k) application in September 2023. Clearance and resumption timing were unresolved at the filing date.
- The FDA issued a Form 483 after a February 2023 quality-system inspection of the San Jose facility, identifying four observations. The Company reported completing remediation workstreams but continued providing monthly updates to the FDA.
- The FDA cleared PCB-free silicone tubing for Tablo in December 2023. The Company planned to replace remaining silicone segments in new and existing consoles during the first quarter of 2024. The filing warns that a safety notice, recall or other enforcement action remains possible.
- The Company recalled a Tablo console component in January 2022 because of possible heat-related damage; no new material recall was reported in this filing.
- The Company reported no legal proceedings that it believes would have a material adverse effect if resolved against it.
- The largest customer represented 13% of 2023 revenue, and one customer represented 14% of year-end accounts receivable.
- Purchase commitments and ordinary-course contractual obligations totaled $59.5 million at December 31, 2023.
- The independent auditor issued an unqualified opinion on the financial statements and concluded that internal control over financial reporting was effective. The critical audit matter involved sufficiency of audit evidence over Tablo console revenue and revenue timing.
Key investor risks
- Continued large operating losses, negative operating cash flow and potential need for additional financing.
- Debt covenant compliance, variable-rate interest expense and secured borrowing that could restrict financial flexibility.
- Execution risk in achieving sustainable gross-margin expansion and reducing manufacturing and service costs.
- FDA warning-letter resolution, pending TabloCart with Prefiltration clearance and potential recall or enforcement consequences.
- Expiration of TPNIES reimbursement support and broader changes in dialysis reimbursement.
- Customer purchase deferrals, long sales cycles, staffing shortages and hospital capital-budget constraints.
- Dependence on Tablo as the primary product and on a limited number of customers.
- Manufacturing concentration in Mexico, single-source suppliers, contract manufacturers and cross-border logistics.
- Competition from substantially larger dialysis-device and dialysis-service providers, including Fresenius, Baxter and B. Braun.
- Product reliability, warranty, product-liability, cybersecurity, privacy and data-protection exposure.
Facts investors should verify
- Whether the FDA has cleared the TabloCart with Prefiltration 510(k) application and whether distribution has resumed.
- Whether FDA quality-system and warning-letter matters have been formally closed and whether any recall or safety communication has been issued regarding Tablo tubing.
- Quarterly revenue, console placements, installed-base utilization and recurring consumables growth, since the 10-K does not provide a standalone Q4 income statement.
- Progress toward the SLR revenue milestones, covenant compliance and availability of the remaining potential debt capacity.
- Cash-burn trends, gross-margin progression and the timing, terms and dilution implications of any future financing.
- The effect of TPNIES expiration on home-dialysis customer economics, demand and pricing.
- Customer concentration, deferred purchases and whether macroeconomic pressure continues to affect bookings and installations.
