  • Q3 revenue declined 7% year over year, as product revenue fell 10%; services revenue rose 3%. For the nine months, revenue declined 1%, with product revenue down 3% and services revenue up 4%.
  • Gross margin contracted by 4 percentage points in Q3 and 3 points for the nine-month period. Management attributed the pressure mainly to lower revenue, fixed labor and overhead costs, restructuring-related employee costs, and investment in services, partly offset by cost savings.
  • Operating expenses fell 1% in Q3 but increased 7% for the nine months, including higher employee-related, restructuring, and acquisition-related expenses. Nine-month net income also reflected a tax benefit: the income tax line was a $0.3 million benefit, versus $12.7 million of tax expense in 2019.
  • Operating cash flow was $109.4 million for the nine months, versus $110.2 million. Investing cash outflow was $43.2 million, including $25.9 million for externally marketed software development and $17.3 million for property and equipment.

Liquidity, debt, and capital

  • Cash and cash equivalents were $629.2 million at September 30, 2020, up from $127.2 million at year-end 2019. Working capital was $729.5 million; the current ratio was 4.1:1.
  • Cash from operations less software-development spending and property and equipment purchases was approximately $66.2 million for the nine months, compared with approximately $63.4 million in 2019. This is a simple calculation from reported cash-flow figures, not a company-defined measure.
  • Omnicell issued $575 million principal amount of 0.25% convertible senior notes due 2025, receiving $559.7 million net of issuance costs. The notes’ balance-sheet carrying value was $462.1 million; disclosed fair value was $592.2 million. The notes have an initial conversion price of approximately $97.32 per share.
  • In connection with the notes, the company paid approximately $100.6 million for a convertible-note hedge, received $51.3 million from warrant sales, repurchased 749,300 shares for approximately $53.0 million, and used $150 million to repay revolving-credit borrowings. No revolving-credit balance remained at quarter-end; the facility provides up to $500 million. The company reported compliance with its covenants.

Outlook, commentary, and significant items

  • COVID-19: Customer purchasing and installations were delayed in the first half as healthcare systems focused on pandemic response. Omnicell said customer activity began normalizing in Q3 and implementations resumed. Management expected 2020 product bookings to return to levels anticipated before the pandemic and revenue to increase sequentially in Q4. These are management expectations, not formal quantified revenue or earnings guidance.
  • The company said it had not experienced material manufacturing or supply-chain disruptions to date, but noted that the pandemic’s duration and effects remained uncertain and could materially affect demand, operations, results, liquidity, and access to financing.
  • Omnicell recorded approximately $10.0 million of restructuring costs in the first nine months, primarily severance and related expenses; $1.0 million remained unpaid at quarter-end.
  • On October 1, 2020, after the reporting period, Omnicell completed the acquisition of the 340B Link business for $225 million, subject to adjustments. The purchase was funded from note proceeds; purchase-price allocation was still being evaluated.
  • Non-cancelable purchase commitments totaled $66.4 million, including $49.3 million expected to be paid during the remainder of 2020. The company reported no off-balance-sheet arrangements.
  • Omnicell disclosed a pending Illinois biometric-privacy class action. It had recorded no accrual because it considered a loss reasonably possible but not probable; the possible loss range could not be reasonably estimated. A separate Virginia product-liability case was dismissed with prejudice in September 2020.

Most important facts for investors to verify

  • Whether product bookings, installations, and revenue actually recovered as management expected, and how pandemic-related customer capital-spending constraints evolved.
  • Whether gross margins improve as revenue recovers, given fixed costs, restructuring expenses, and continued service and product investment.
  • The 340B Link acquisition’s final purchase-price allocation, integration progress, and contribution to revenue, costs, and cash flow.
  • Convertible-note conversion, dilution, hedge and warrant impacts, and the company’s ability to meet debt obligations and credit-facility covenants.
  • Developments in the BIPA litigation, purchase commitments, and other legal or contractual exposures.
