Automation and Analytics revenue rose 14% to $92.8 million; segment operating income increased 18% to $25.3 million, with a 27% segment margin versus 26%. Medication Adherence revenue rose 16% to $23.4 million, while segment operating income fell 57% to $1.4 million and margin declined to 6% from 17%, reflecting production inefficiencies, higher costs, and the inclusion of Surgichem. Segment results exclude separately managed corporate costs.

Operating cash flow improved largely because the prior-year quarter had a larger accounts-receivable increase. Q1 2015 cash use in investing was $4.1 million, primarily software development and capital expenditures; financing provided $6.6 million, principally employee stock-plan proceeds. The company reported no borrowings under its $75 million revolving credit facility and said it was in compliance with its covenants. Current liabilities were $108.6 million against current assets of $296.3 million.

Changes, outlook, and management commentary

  • Revenue growth reflected higher Automation and Analytics equipment and service sales, plus Medication Adherence growth that included Surgichem, acquired in August 2014. International sales were 16% of revenue, versus 8% a year earlier.
  • Management expected 2015 revenue to increase from 2014 and operating profit margins to be similar to 2014. It anticipated R&D expense rising from approximately 6% of revenue in 2014 to approximately 8% in 2015; SG&A as a percentage of revenue was expected to remain stable.
  • Management attributed Automation and Analytics growth to customer installations and G4 upgrades; 1,955 U.S. hospitals were installed customers at quarter-end, versus 1,806 a year earlier. Medication Adherence growth was driven largely by European multi-medication adherence solutions. The company cautioned that installation timing affects equipment revenue recognition.
  • Corporate expenses included $1.2 million related to an investigation of a whistleblower claim. The filing says the investigation led to a delayed 2014 Form 10-K; the company concluded it required no changes to its financial statements and that effective internal control over financial reporting was maintained in all material respects. Disclosure controls were assessed as effective.
  • Subsequent to quarter-end, Omnicell acquired Mach4 for approximately $16.5 million, plus approximately $0.9 million to repay its debt, and acquired the remaining interest in Avantec for $10.2 million cash, with additional potential milestone payments. Purchase-price allocations were not complete.
  • Key risks include healthcare customer capital-spending constraints, competitive pressures, installation and product-supply delays, foreign-exchange exposure, acquisition integration, and dependence on suppliers. The company had $52.4 million of disclosed operating-lease and purchase commitments; uncertain tax liabilities of $5.9 million were excluded because payment timing and amount could not be estimated.

Legal matters and unusual disclosures

A patent inventorship and related state-law case continued: the court dismissed certain claims but allowed fraud, fraudulent-concealment, and negligent-misrepresentation claims to proceed. A separate putative securities class action filed in March 2015 alleges misleading statements concerning a “side letter” and internal controls. The company recorded no accrual for these proceedings, stating that loss was not considered probable and any range could not be reasonably estimated; it said litigation outcomes could nevertheless materially affect results or cash flows.

The filing contains inconsistent cash disclosures: the balance sheet and cash-flow statement report $139.6 million at March 31, 2015, while MD&A states $136.5 million for that date. The filing text does not explain the difference.

Important facts for investors to verify

  • Reconcile the $139.6 million financial-statement cash balance with the $136.5 million amount stated in MD&A.
  • Monitor the outcome and potential costs of the patent and securities litigation, including allegations concerning the side letter and internal controls.
  • Assess whether Medication Adherence production inefficiencies and margin pressure improve, and whether Automation and Analytics growth supports consolidated margins.
  • Review the completed Mach4 and Avantec acquisitions, final purchase-price allocations, integration progress, and any milestone payments.
  • Track installation capacity, bookings conversion, international growth and foreign-exchange effects against management’s 2015 outlook.
