  • Q2 revenue increased 23.6% year over year; six-month revenue increased 18.1%. Product revenue rose 28.2% in Q2 and 21.4% for the half; service and other revenue rose 9.0% and 8.0%, respectively.
  • Q2 gross margin fell year over year, chiefly reflecting MTS’s lower-margin Non-Acute Care business, acquisition-related inventory step-up costs, and Acute Care product mix. Six-month gross margin also declined.
  • Operating cash flow was $18.8M for the first half, versus $7.3M a year earlier. Investing activities used $153.9M, mainly for the MTS acquisition; financing activities used $2.5M.
  • Cash and cash equivalents were $54.1M at June 30, down from $191.8M at year-end 2011; short-term investments were zero. Current assets were $155.6M and current liabilities $73.2M. No borrowing or debt balance is presented on the balance sheet.
  • Total assets were $404.6M, including $113.0M goodwill and $87.2M net finite-lived intangibles, primarily recorded in connection with MTS. Total liabilities were $117.1M.

Material changes and unusual items

  • Omnicell acquired MedPak, parent of MTS, on May 21, 2012, for approximately $158.3M cash at closing; preliminary total consideration was $160.1M, including an estimated $1.8M working-capital adjustment. The allocation remains preliminary. MTS contributed $8.9M revenue and a $1.5M net loss after acquisition; its results are included only from the acquisition date.
  • The acquisition added $84.5M goodwill and $83.5M acquired intangibles, and created a Non-Acute Care segment. Non-Acute Care reported $8.9M Q2 revenue and a $1.5M operating loss; its reported results included acquisition-related costs.
  • Q2 included $3.2M of acquisition-related expenses in SG&A, alongside inventory fair-value step-up and other acquisition charges. Management characterized some acquisition-related charges as nonrecurring.
  • Omnicell repurchased 505,137 shares for $7.1M during Q2. Subsequent to quarter-end, it repurchased another 314,100 shares; on August 1, the board authorized a new $50M repurchase program.

Outlook, commentary, and risks

  • Management expected revenue to continue increasing in 2012 and forecast approximately 7%–8% year-over-year growth in Acute Care products. It anticipated lower product and overall gross margins in subsequent quarters as a full quarter of lower-margin Non-Acute Care results was included. No specific EPS or consolidated revenue guidance was provided.
  • Management said cash and operating cash flows should cover anticipated working capital and capital expenditures for at least the next 12 months, while noting possible future financing needs for operations, investment, or acquisitions.
  • Key risks include successful integration and realization of MTS acquisition benefits; customer capital-spending and installation timing; competition and pricing pressure; timely production and delivery of consumable medication packages; supplier dependence; and foreign-currency exposure. A new headquarters lease carries an approximately $40M base commitment over ten years; total operating lease commitments were $48.1M at quarter-end.
  • Management reported no legal proceedings believed likely to have a material effect, no material off-balance-sheet arrangements, and effective disclosure controls as of June 30, 2012.

Investor verification priorities

  • Track MTS integration, segment profitability, acquisition synergies, and whether preliminary purchase accounting or working-capital adjustments change.
  • Assess how the acquired business’s lower margins and amortization affect consolidated margins and earnings as its results are included for full quarters.
  • Reconcile cash generation and liquidity after the acquisition, repurchases, and planned capital and lease commitments.
  • Monitor Acute Care growth, order-to-installation timing, service-contract trends, and management’s stated 7%–8% Acute Care product outlook.
  • Review execution of the $50M repurchase authorization and the implications of continued buybacks for cash reserves.
