ON Semiconductor Corporation — FY 2015 Form 10-K
Reporting period: Fiscal year ended December 31, 2015; filed February 24, 2016. The filing is an annual report, not a standalone fourth-quarter filing. ON Semiconductor designs and manufactures semiconductor products across four reporting segments: Application Products, Image Sensor, Standard Products, and System Solutions.

Fourth-quarter 2015 revenue was $840.3 million, attributable net income was $54.1 million, and diluted EPS was $0.13. Cash flow from operations less capital expenditures was approximately $199.8 million in 2015.
Liquidity, debt, and capital allocation
- Year-end current assets were $1,891.5 million and current liabilities were $1,239.3 million. The balance sheet reports net debt, including current maturities, of $1,393.9 million; this includes $28.2 million of capital lease obligations. Gross debt including capital leases was $1,515.8 million.
- The amended senior revolving credit facility has $1.0 billion of capacity and no borrowings outstanding at year-end; a $0.2 million letter of credit was outstanding under it.
- ON Semiconductor issued $690.0 million of 1.00% convertible notes due 2020 and repaid $350.0 million drawn under its revolver. Interest expense rose to $49.7 million from $34.1 million.
- The company repurchased approximately 30.4 million shares for $347.8 million during 2015. It had $628.2 million remaining under its $1.0 billion repurchase authorization at year-end. It has not paid cash dividends on common stock.
Material changes versus 2014
- Revenue increased approximately 11%, principally because Aptina and Truesense, acquired in 2014, contributed a full year of Image Sensor Group operations. Image Sensor revenue rose to $717.3 million from $306.1 million.
- Average selling prices declined approximately 8%. Gross margin slipped 20 basis points, with management citing product and volume mix, including a higher proportion of lower-margin image sensor revenue.
- System Solutions revenue fell approximately 12% to $506.9 million, reflecting weaker Japanese consumer markets and increased competition. Standard Products revenue was broadly flat; Application Products revenue declined about 1%.
- Amortization of acquisition-related intangible assets increased to $135.7 million from $68.4 million. Restructuring and related charges declined to $9.3 million from $30.5 million.
- Operating cash flow declined $10.7 million, mainly due to working-capital changes; inventory and deferred distributor income were notable uses of cash.
Outlook, transactions, and risks
- Q1 2016 outlook: Revenue estimated at $800–$840 million; average selling prices expected to decline approximately 2% from Q4 2015; gross margin estimated at 31.8%–33.8%. The outlook excludes Fairchild.
- Fairchild acquisition: ON Semiconductor agreed to acquire Fairchild for $20 per share in cash, with an estimated transaction value of $2.4 billion. The company expected closing late in Q2 2016, subject to tender, regulatory, financing, and other conditions. Financing commitments included a $2.4 billion term loan and a $300 million revolving facility, potentially expandable by $200 million. Management expected substantially higher interest expense after closing.
- A shareholder lawsuit challenging the Fairchild transaction was pending. The filing identifies risks of delay or failure to close, possible termination fees of $215 million in specified circumstances, increased leverage, financing costs, integration challenges, and failure to achieve anticipated benefits.
- Other significant risks include semiconductor cyclicality and price erosion, customer order changes and cancellations, customer and distributor concentration within segments, manufacturing and supply-chain disruptions, foreign exchange and tax exposure, and product liability or intellectual-property claims.
- 2015 unusual items included $3.8 million of impairment charges for canceled in-process research projects and a 4.9% effective tax rate, affected by valuation allowance changes and foreign tax items. Approximately $1.3 billion of foreign earnings were treated as indefinitely reinvested; estimated tax on repatriation was $54.1 million.
- Management reported effective internal control over financial reporting, and the auditor issued an unqualified opinion on the financial statements and internal controls.
Investor verification priorities
- Confirm Fairchild’s eventual closing, final financing terms, resulting leverage, interest expense, and integration performance.
- Track whether Q1 2016 revenue and gross-margin guidance was achieved and how selling-price declines and product mix developed.
- Assess whether Image Sensor growth is sustainable and whether System Solutions revenue and profitability stabilize.
- Review operating cash conversion, inventory levels, capital spending, debt maturities, and the effect of share repurchases on liquidity.
- Monitor tax valuation allowances, foreign-earnings repatriation exposure, and the Fairchild-related tax consequences.
