Onemednet Corp annual report, FY2023

OneMedNet Corporation — FY2023 Form 10-K

Reporting period: Year ended December 31, 2023; comparison is FY2022. This is an annual filing, not a standalone fourth-quarter report. OneMedNet provides clinical imaging exchange services (BEAM) and curated imaging real-world data (iRWD) to healthcare providers and life-sciences customers. The business combination with Data Knights closed November 7, 2023 and was accounted for as a reverse recapitalization.

Financial performance and liquidity

MetricFY2023FY2022
Revenue$1.02 million$1.15 million
Gross profit (loss)$(128,000); margin approximately -12.5%$(361,000); margin approximately -31.3%
Operating loss$(8.37) million$(11.43) million

Cash and cash equivalents at year-end$47,000$302,000
Total assets / total liabilities$463,000 / $13.32 million$30.43 million / $21.16 million
  • Revenue declined 11%. BEAM/data-exchange revenue rose 30% to $878,000, while iRWD/data-broker revenue fell 70% to $143,000; management attributed the iRWD decline mainly to deliveries pushed into Q1 2024.
  • Cost of revenue fell to 113% of revenue from 131%, improving the gross loss. Operating expenses fell to $8.25 million from $11.06 million, including lower general and administrative and operations costs; research and development and sales and marketing spending increased.
  • The wider net loss included a $10.50 million goodwill impairment, $3.57 million stock expense, and $749,000 interest expense. The company wrote off all goodwill recorded in connection with the business combination.
  • Current assets were $364,000 versus current liabilities of $12.83 million, a working-capital deficit of approximately $12.47 million. Current obligations include $4.18 million accounts payable and accrued expenses, $2.99 million extension loans, $1.55 million PIPE notes, and a $3.53 million deferred underwriting fee payable.
  • The cash-flow statement reports $8.22 million of cash provided by operating activities for 2023, but this includes a $29.03 million trust-account cash item related to the business combination. Management elsewhere describes $8.2 million of cash used in operations, and the auditor cites negative operating cash flows. The filing’s cash-flow descriptions are inconsistent; see investor checks below. Investing activities used $44,000 and financing activities used $8.43 million.

Material changes, outlook and risks

  • Two customers represented 52% of FY2023 revenue; one customer alone represented 52%. Management expects Change Healthcare to remain a significant revenue source in 2024. Customer concentration and timing of contract deliveries create meaningful revenue risk.
  • The auditor and management state that recurring losses, accumulated deficit of $55.1 million, limited liquidity and negative operating cash flows raise substantial doubt about the company’s ability to continue as a going concern. Management says existing cash is insufficient for foreseeable needs over the next 12 months and plans to seek additional debt or equity financing; no assurance of financing or profitability is provided.
  • After year-end, the company reported $1.0 million received from a majority shareholder for shares, an additional $300,000 shareholder loan, and an agreement for up to $4.54 million of senior secured convertible-note funding. It also issued shares in 2024 to settle $3.0 million of underwriting commissions and bought back 187,745 shares from a convertible-note holder.
  • Nasdaq notified the company that it had not met the $50 million minimum market-value-of-listed-securities requirement. The stated compliance deadline was August 5, 2024; failure to regain compliance could lead to delisting.
  • Principal risks include financing and going-concern uncertainty, dependence on major customers and provider-network relationships, competition, privacy and cybersecurity exposure, and possible share-price volatility and dilution from convertible securities and future fundraising. The company says it does not maintain cybersecurity insurance.
  • CEO Paul Casey retired effective March 29, 2024; Aaron Green was appointed CEO. The filing provides strategic growth priorities—expanding globally, building sales capacity and developing offerings—but no quantified revenue, margin or profitability guidance.

Important facts for investors to verify

  • Reconcile the cash-flow disclosures: the statement shows positive $8.22 million operating cash flow, while the narrative and going-concern discussion describe cash use and negative operating cash flows. Determine the underlying cash burn excluding trust-account and transaction-related items.
  • Confirm the outstanding debt and payment terms, including extension loans, PIPE notes and related-party obligations. The filing gives differing descriptions of PIPE-note conversion terms and reports different figures across sections.
  • Track post-year-end financing proceeds, conversion prices, share issuance and dilution, and whether the funding is sufficient to cover the company’s near-term liabilities and operating needs.
  • Monitor customer retention and renewal, particularly the customer contributing 52% of FY2023 revenue, and whether delayed iRWD deliveries were completed in Q1 2024.
  • Verify Nasdaq compliance status and the impact of any subsequent listing or financing developments.
