Cash flow, liquidity and balance sheet

  • Cash and cash equivalents were $953 million at March 31, 2024, compared with $999 million at December 31, 2023.
  • Restricted cash was $333 million, down from $541 million, and marketable securities were $37 million, down from $69 million.
  • Total cash, cash equivalents and restricted cash declined by $254 million during the quarter to $1.286 billion.
  • Operating cash flow was $(178) million, compared with $2.162 billion of operating cash flow in Q1 2023. The current-quarter use was primarily related to a $114 million increase in real estate inventory and the net loss.
  • Investing cash flow was $22 million, primarily from sales and maturities of marketable securities, partly offset by $8 million of capital expenditures.
  • Financing cash flow was $(98) million, principally reflecting $100 million of principal payments on non-recourse asset-backed debt.
  • Real estate inventory increased to $1.881 billion from $1.775 billion at year-end 2023. The company was under contract to purchase 2,611 homes for $906 million.
  • Total liabilities were $2.505 billion and shareholders’ equity was $899 million at March 31, 2024.

Debt and liquidity

  • Non-recourse asset-backed debt had a carrying value of $2.036 billion, compared with $2.134 billion at December 31, 2023. Total borrowing capacity was approximately $8.0 billion, including $2.5 billion of committed capacity and $6.0 billion of undrawn capacity.
  • The asset-backed debt included $1.389 billion of senior term debt and $647 million of mezzanine term debt. The mezzanine facilities generally bear fixed interest at 10%.
  • Convertible senior notes had $381 million of principal outstanding and a $376 million carrying value, with maturity in August 2026 and a stated cash interest rate of 0.25%.
  • All outstanding borrowings were at fixed rates at March 31, 2024; management estimated that a one-percentage-point increase in benchmark rates would not have affected annual interest expense at that date.
  • The company was in compliance with all financial covenants, and no event of default had occurred.
  • Management stated that existing cash, marketable securities, expected future operating cash flow and borrowings should be sufficient to meet working capital and capital expenditure requirements for at least 12 months from the filing date.

Material changes versus the prior comparable period

  • Sales volume contracted sharply as the company entered 2024 with a substantially smaller inventory base following a deliberate reduction in acquisition pace beginning in Q3 2022.
  • Revenue fell 62%, but gross margin, adjusted gross margin and contribution margin improved materially, reflecting relative home-price stabilization and higher spreads embedded in acquisition offers.
  • Operating expenses declined 32%, led by lower resale transaction costs, property holding costs, headcount costs and stock-based compensation.
  • Interest expense declined 50% to $37 million because of lower average asset-backed debt balances, lower weighted-average rates and repayment of floating-rate senior revolving facilities.
  • Q1 2023 included a $78 million gain from debt extinguishment; no comparable gain was recorded in Q1 2024.
  • Homes older than 120 days represented 15% of inventory at March 31, 2024, compared with 59% at March 31, 2023 and 19% for the company’s comparable market benchmark.
  • Stock-based compensation expense declined to $33 million from $42 million, although $180 million of unrecognized expense remained related to unvested RSUs.

Guidance, outlook, management commentary and risks

Management expects housing transaction volumes to gradually increase as mortgage rates eventually decline and demographic factors support natural home turnover. In the interim, the company intends to pursue market-share growth through brand awareness and partnerships, including Zillow, eXp Realty, homebuilders, agents and online real estate platforms. The Zillow partnership was live in 45 markets at March 31, 2024, and the eXp Realty partnership launched at the end of February 2024.

The company plans to preserve flexibility in setting acquisition spreads, continue managing inventory aging and sell-through, and evaluate additional financing sources. Management also expects to invest in adjacent services and listing or marketplace products intended to improve unit economics and reduce inventory exposure and capital intensity. The filing does not provide specific quantitative revenue, earnings or transaction-volume guidance.

  • Key risks include housing-market deterioration, mortgage-rate and interest-rate volatility, inflation, home-price declines, weaker transaction volumes and affordability constraints.
  • The business is capital intensive and depends on access to asset-backed financing, the ability to resell homes profitably and compliance with borrowing-base and financial covenants.
  • Inventory valuation is sensitive to home prices, holding periods, resale velocity and assumptions regarding net realizable value.
  • Competition, regulatory requirements, licensing, technology execution, data-provider relationships, privacy and cybersecurity, employee retention and litigation could adversely affect results.
  • The company has ongoing securities and shareholder derivative litigation related primarily to allegations concerning its pricing algorithm. The primary securities case was dismissed without prejudice in February 2024, but plaintiffs filed a motion for reconsideration in March 2024; the derivative actions remain stayed or pending.
  • The company has incurred losses from inception, except for limited profitable quarters, and expects additional losses in the future.

Most important facts for investors to verify
