Cash flow, liquidity, debt and capital
- Operating cash flow was $1.95 million; investing activities used $11.91 million and financing activities used $13.51 million. Cash and cash equivalents declined $23.47 million to $117.87 million.
- Financing cash outflows included the $6.75 million repurchase of the remaining Series B preferred stock. No Series B preferred shares remained outstanding at quarter-end.
- Liquid assets were $190.4 million, or 29.4% of total assets, versus $200.1 million, or 30.3%, at year-end. The Bank had no FHLB advances outstanding; disclosed FHLB borrowing capacity was approximately $161.1 million, with $25 million of correspondent-bank federal-funds lines also available and undrawn.
- Regulatory capital ratios remained above stated minimums. The Bank reported total capital to risk-weighted assets of 14.8%, Tier 1 capital to risk-weighted assets of 13.5%, and Tier 1 capital to average assets of 9.4%.
- Off-balance-sheet commitments to extend credit were $49.1 million, including $0.3 million of letters of credit, versus $42.2 million and $0.5 million, respectively, at year-end.
Material changes and credit quality
- Net interest income fell 6.6% year over year, and net interest margin contracted 62 basis points. Management attributed the pressure mainly to lower loan and securities yields and a greater share of lower-yielding securities and bank deposits. Deposit costs declined, but by less than earning-asset yields.
- Net income declined 11.1%; common earnings declined about 4.7%. The smaller decline in common earnings partly reflects preferred dividends falling to $67,500 from $168,750. Pre-tax income decreased $303,000, with lower net interest income the largest adverse factor.
- The Q1 loan-loss provision was $100,000, down from $300,000 a year earlier. The allowance declined to $7.74 million from $7.97 million; net charge-offs were approximately $332,000. The allowance was 1.99% of total loans and 141.61% of non-performing loans.
- Non-accrual loans improved to $5.47 million from $6.92 million at year-end. Non-performing assets were $6.44 million, or 0.99% of assets, including $0.97 million of OREO acquired through foreclosure. Total loans were nearly unchanged at $390.0 million; approximately 82% were commercial real estate loans, including construction lending.
- Available-for-sale securities increased to $114.6 million from $103.9 million. The quarter recorded $473,707 of other comprehensive loss, primarily associated with unrealized securities losses. Management said the unrealized losses were primarily interest-rate-related and no security was considered other-than-temporarily impaired.
Outlook, commentary and risks
Management said local economic conditions remained weak and the timing and pace of recovery were uncertain. It expects non-interest expense to rise as the business grows, while stating it will seek to control costs. No specific earnings or financial guidance was provided. Management considered the loan-loss allowance adequate but cautioned that economic conditions and other uncertainties could produce additional losses.
Key disclosed risks include the concentration in real-estate-related lending, borrower financial and collateral deterioration, local economic weakness, competition, regulation, and interest-rate changes. The company noted that deposit rates were already near historic lows, limiting further reductions in funding costs. Six deposit customers held balances exceeding 1% of total deposits, including two exceeding 3%.
The filing reports no material pending or threatened legal proceedings and no significant deficiencies or material weaknesses in disclosure controls. Management concluded disclosure controls were adequate and effective.
Important facts for investors to verify
- Reconcile the troubled-debt-restructuring count: the loan note reports five loans and leases totaling $2.524 million at March 31, while MD&A refers to six loans totaling approximately $2.52 million.
- Assess the sustainability of net interest income and margin given declining asset yields and limited room for further deposit-rate reductions.
- Review the commercial-real-estate concentration, delinquency and risk-grade trends, foreclosures, and adequacy of the allowance for loan losses.
- Track liquidity and deposit concentration, including the decline in cash during the quarter and the level and utilization of undrawn credit facilities.
- Separate recurring non-interest income from the prior-year $120,000 operating recovery that management cited as a driver of the year-over-year comparison.
