Asset quality and capital
- The allowance for loan losses was $5.9 million, or 1.46% of gross loans, compared with $5.3 million, or 1.38%, at year-end. First-half provision increased to $0.784 million, driven chiefly by specific reserves on large commercial relationships.

Material changes and management commentary
- Growth in average loans and investment securities drove higher interest income and net interest income; lower average costs on time deposits and borrowings also supported results. Management cited expansion in the greater Syracuse market and the new Syracuse business banking office, opened in 2014.
- Expense growth partly offset revenue gains: Q2 noninterest expense rose 12.5%, with higher compensation, occupancy, professional services, and other costs. For the first half it increased 10.2%.
- Management attributed the larger loan-loss provision to updated collateral information and specific reserves for commercial credits, including an additional reserve of approximately $345,000 on a newly impaired commercial relationship and $371,000 on another large impaired relationship.
- On May 8, 2015, the Bank applied to combine with its wholly owned Pathfinder Commercial Bank subsidiary and convert that subsidiary to a full-service commercial bank under the Pathfinder Bank name. Completion was expected in Q3 or Q4 2015, subject to regulatory approvals; management expected some annual cost savings and little effect on current activities or investments.
- The company acquired the Huntington Agency in Q1 2015. The acquisition contributed to higher agency commissions; the cash flow statement reports a $225,000 acquisition outlay.
Outlook, risks, and unusual items
The filing provides no quantified earnings, revenue, or margin guidance. Management cautioned that interim results are not necessarily indicative of full-year results. Forward-looking risks include economic conditions in the company’s market, interest-rate and securities-market changes, competition, borrower and depositor behavior, regulatory or accounting changes, execution of growth initiatives, and third-party performance. The company noted that local borrowers’ ability to repay depends in part on area employment and economic conditions.
- Available-for-sale securities generated an after-tax other comprehensive loss of $0.5 million in Q2, principally reflecting unrealized market-value declines; accumulated other comprehensive loss was $2.3 million at June 30.
- Management did not consider identified investment-security unrealized losses to be other-than-temporary impairment and said it did not intend, nor expect to be required, to sell the securities before recovery.
- Standby letters of credit totaled $1.6 million. Management believed collateral and guarantees would cover potential payments; their fair value was not significant.
- The company reported no material-adverse legal proceedings, effective disclosure controls, and no material quarterly change in internal control over financial reporting.
Important facts for investors to verify
- Whether the regulatory approvals and planned combination of Pathfinder Commercial Bank were completed on schedule, and whether expected cost savings materialized.
- Subsequent performance and collateral values of the large commercial relationships that drove specific reserves, impaired-loan reserves, and the increase in potential problem loans.
- Whether deposit growth from promotional and municipal/business accounts is stable and what it implies for funding costs and liquidity.
- Whether loan growth and Syracuse expansion can offset margin pressure and the faster increase in operating expenses.
- How securities fair values, deposit concentration, and interest-rate changes affect accumulated other comprehensive loss, margins, and capital.
- The filing’s first-half cash-flow statement reports net income attributable to Pathfinder of $1.223 million, while the income statement reports total net income including noncontrolling interest of $1.245 million; keep the attribution basis clear when comparing earnings.
