PDF Solutions, Inc. — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. The filing also reports unaudited fourth-quarter results. Unless noted otherwise, financial amounts are in U.S. dollars.
Business context
PDF Solutions provides software, hardware, intellectual property and services that help semiconductor and electronics companies connect and analyze manufacturing, design and test data to improve yield, quality and operational efficiency. Revenue comes from Analytics and Integrated Yield Ramp (IYR), which can include variable Gainshare royalties. Management said it is prioritizing analytics as leading-edge foundry trends and U.S. export restrictions affect characterization opportunities.
Financial performance and liquidity
| Metric | FY2022 | FY2021 |
|---|---|---|
| Revenue | $148.5 million | $111.1 million |
| Analytics revenue | $130.5 million | $93.4 million |
| IYR revenue | $18.1 million | $17.6 million |
| Gross profit / margin | $100.6 million / 68% | $66.9 million / 60% |
| Net loss | $3.4 million; $(0.09) per share | $21.5 million; $(0.58) per share |
| Cash from operating activities | $32.3 million | $4.2 million |
Revenue increased 34% year over year. Analytics grew 40%, primarily on higher CV and DFI system revenue and Exensio and Cimetrix software licenses; IYR increased 2%, as more fixed-fee engagement work was partly offset by Gainshare periods ending. Research and development expense rose 28% to $56.1 million and selling, general and administrative expense rose 20% to $45.3 million, reflecting principally personnel and related costs.
Fourth-quarter revenue was $40.5 million, versus $29.9 million in Q4 2021. Q4 2022 net income was $0.5 million, compared with a $7.0 million net loss a year earlier. The company recorded net losses for FY2022 overall.
At December 31, 2022, cash, cash equivalents and short-term investments totaled $139.2 million, working capital was $135.2 million, and stockholders’ equity was $210.0 million. Management said existing resources and anticipated operating funds should cover operating activities, capital expenditures and other obligations for at least 12 months. The company disclosed no debt or off-balance-sheet borrowings. Operating lease liabilities had a present value of $7.3 million; purchase obligations totaled $30.4 million, mostly due within 24 months. Net cash used in financing was $24.3 million, including $22.5 million of share repurchases and $6.5 million of taxes on net share settlement of equity awards.
Material changes, outlook and notable items
- Revenue mix shifted further toward Analytics, which represented 88% of FY2022 revenue, compared with 84% in FY2021. IYR represented 12%, down from 16%.
- Remaining performance obligations were approximately $277.7 million at year-end; the majority was expected to be recognized over the next two years. This excludes certain usage-based royalties and other amounts and is subject to change.
- The filing gives no specific numeric revenue or earnings guidance. Management expects R&D and SG&A to fluctuate with product-development timing, cost initiatives and selling efforts.
- Two customers accounted for 41% of FY2022 revenue; the largest accounted for 31%. International revenue was about 50%, including 16% from China.
- U.S. export-control changes announced in October 2022 temporarily caused the company to pause some deliveries while assessing requirements. Management expected the restrictions’ impact to be limited based on its then-current assessment, while noting further restrictions could affect China sales.
- PDF Solutions is pursuing arbitration against SMIC for unpaid contract fees. SMIC denies liability; a hearing took place in February 2023, with a decision expected within approximately three to six months. The company incurred $1.9 million in related expenses in 2022 and expected substantial additional hearing costs.
- Management cited macroeconomic and semiconductor-cycle uncertainty, supply-chain disruption, geopolitical tensions, COVID-19 impacts, competition, and the risk that lower customer wafer volumes or ended Gainshare periods reduce IYR revenue. Customer concentration and the timing of variable royalties also add revenue uncertainty.
- Auditors issued unqualified opinions on the financial statements and internal control over financial reporting; management also concluded disclosure controls and internal financial controls were effective. Revenue recognition was identified as a critical audit matter because of estimates for contract performance, standalone selling prices and Gainshare royalties.
Investor verification points
- Check whether Analytics growth and the 68% gross margin are sustained, and whether spending growth translates into operating profitability.
- Monitor the largest customers’ contribution, receivable concentration and collection timing; three customers represented 53% of gross receivables at year-end.
- Review the SMIC arbitration outcome, recoverability of unpaid fees and any further legal costs or accounting effects.
- Track U.S. export-control developments and their effects on China-related revenue, customer deployments and international operations.
- Compare the $277.7 million of remaining performance obligations with actual conversion to revenue, and assess the variability of IYR and Gainshare royalties.
- Assess cash generation alongside share repurchases, capital spending, lease commitments and purchase obligations.
