R&D expense rose mainly because clinical studies and medical affairs costs increased by $1.2 million. G&A fell primarily on lower personnel costs. Net interest expense increased to $0.51 million from $0.24 million, principally reflecting higher debt interest and debt-discount amortization. Gross margin is not applicable given the absence of product revenue.

Cash increased by $10.07 million during the quarter, chiefly because of $19.49 million in net proceeds from at-the-market (ATM) stock sales and $0.53 million from option exercises, offset in part by operating cash use and lease payments. The company sold 3,428,681 shares under the ATM program; shares outstanding increased from 33.09 million at year-end to 36.68 million at March 31. Current assets were $68.69 million and current liabilities $15.06 million.

At March 31, the balance sheet reported $23.94 million of note payable, net of debt discount, comprising $7.29 million current and $16.65 million noncurrent. The loan bears floating interest at prime plus 5.75% (subject to a 4% floor); principal payments are scheduled to begin October 1, 2024. The debt is secured by company assets, subject to stated exceptions, and includes minimum-cash and other covenants. PDS reported material compliance with covenants at quarter-end.

Material changes, outlook, and risks

  • Operating cash use was $3.25 million lower than in Q1 2023, although net loss increased. Management attributes the cash-flow improvement partly to noncash stock compensation and working-capital timing.
  • Management expects R&D expense to increase significantly as candidates advance through clinical trials and regulatory development. The filing gives no specific financial guidance or quantified cash-runway estimate.
  • The company says it has never been profitable, expects continued operating losses, and may never become profitable. It concluded that substantial doubt exists about its ability to continue as a going concern for at least 12 months from issuance of the financial statements. Its plans depend on additional capital, collaborations, strategic alliances, or licensing; none is assured. Failure to secure funding could require delaying, reducing, or ending programs.
  • The two remaining potential $5 million loan tranches were uncommitted and expired as available financing in 2023. The loan agreement permits lenders to call outstanding amounts if minimum-cash requirements are not maintained. PDS also noted that equity financing would dilute shareholders and new debt could add restrictions.
  • In April 2024, after quarter-end, PDS received approximately $0.9 million from selling New Jersey tax benefits. The amount was not included in March 31 cash.
  • In May 2024, PDS described updated interim VERSATILE-002 results and a revised strategy for a potential two-part registrational trial of PDS0101, PDS01ADC, and pembrolizumab in first-line HPV16-positive recurrent/metastatic head and neck cancer. These are company-reported interim clinical findings and plans, not Q1 financial results or proof of efficacy.
  • The Merck KGaA license for PDS01ADC includes up to $11 million in development and first-commercial-sale milestones, up to $105 million in sales milestones, and a 10% royalty on specified net sales, subject to contractual terms. No material pending legal proceedings were reported.

Important facts for investors to verify

  • Cash runway assumptions, planned financing sources, and the precise minimum-cash thresholds and consequences under the loan covenants.
  • Debt principal, floating-rate interest exposure, and the scheduled amortization beginning in October 2024.
  • Remaining ATM capacity, future share issuance, and resulting dilution.
  • Clinical-trial status, timing, funding needs, and the evidentiary basis for interim results and the proposed registrational strategy.
  • Potential PDS01ADC milestone and royalty obligations if development or commercialization progresses.
