Playtika Holding Corp. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023. This is an annual report, not a standalone fourth-quarter earnings filing. Playtika develops free-to-play mobile games and earns nearly all revenue from optional in-game purchases.

| Debt, face amount | $2,452.5 million | $2,466.8 million |
Revenue fell 1.9% year over year. Operating income rose, but net income declined 14.6%, primarily amid a higher income-tax provision: $157.1 million and a 40.1% effective tax rate, versus $85.5 million and 23.7% in FY2022. Interest expense increased to $153.0 million from $117.5 million, partly offset by higher interest income.
Operating cash flow increased by $21.9 million. Investing used $240.2 million, including $159.6 million of net cash consideration for Youda Games and InnPlay; financing used $18.2 million. Cash, cash equivalents and restricted cash ended the year at $1,031.7 million. The company reported $600 million of unused revolving-credit capacity and said available cash, operating cash flow and that capacity should meet normal operating needs for the next 12 months and foreseeable future.
Material changes and business developments
- Casual games generated 56.7% of FY2023 revenue; social casino games generated 43.3%. Social casino revenue declined 8.1%, while casual-game growth did not offset the decline.
- The top nine games generated 95.7% of revenue; Slotomania and Bingo Blitz together generated approximately 46%. Slotomania revenue declined approximately 9%.
- Average DAUs fell to 8.7 million from 9.4 million, and average MAUs to 29.4 million from 31.4 million. Average daily payer conversion improved to 3.6% from 3.3%, ARPDAU rose to $0.81 from $0.76, and average daily paying users were 310,000 versus 314,000.
- Direct-to-consumer revenue increased to $639.4 million from $606.9 million, while third-party-platform revenue declined to $1,927.6 million from $2,008.6 million.
- Operating expenses declined overall, including lower R&D, sales and marketing, and general and administrative costs. The company recorded $51.3 million of intangible-asset impairment: $41.6 million for Redecor and $9.7 million for a JustPlay title. Approximately $41 million of Redecor carrying value remained potentially subject to future impairment.
- Year-end cash increased partly because FY2023 had no comparable $600 million share tender payment made in 2022. FY2023 included the Youda Games and InnPlay acquisitions.
Debt, liquidity and capital returns
Debt comprised a senior secured term loan with $1,852.5 million face value, maturing in 2028, and $600 million of 4.25% senior notes due 2029. The term loan is variable-rate; its reported year-end rate was 8.220%. The revolving facility matures in 2026 and had no borrowings outstanding. The company had $1,029.7 million of cash and cash equivalents and reported compliance with debt covenants, including a first-priority net secured leverage ratio of 0.99x against a 6.25x maintenance limit. Interest paid was $146.0 million, net of hedges, in FY2023.
In February 2024, the board declared a $0.10-per-share cash dividend, payable April 5, 2024 to holders of record March 22, 2024. Future dividends remain subject to market conditions and board approval.
Outlook, commentary, risks and unusual items
- Outlook: The filing provides no numeric revenue or earnings guidance. Management emphasizes ongoing content development, user monetization, user acquisition, and disciplined evaluation of acquisitions and dividends.
- Platform and game concentration: The business depends on a small number of games, paying users, and third-party distribution and payment platforms. The filing says 70.5% of revenue was generated through the iOS App Store, Facebook and Google Play Store.
- Platform restrictions: Google blocked Slotomania and Caesars Slots in several Middle Eastern and Asian countries in December 2023, and World Series of Poker in January 2024; Slotomania was also blocked from Google Play in Indonesia in January 2024. Playtika reported no material impact to date because revenue in those markets was limited, but broader restrictions could be harmful.
- Geopolitical exposure: The Israel war had no direct material financial impact as of the filing, but the company has approximately 1,100 employees in Israel and reported employee reserve-duty call-ups. It also has significant operations in Ukraine, Belarus and Romania.
- Legal and regulatory: Social-casino gambling claims remain pending in Alabama and Tennessee; an Israeli proposed class action asserts NIS 50 million in damages. The company says it cannot estimate the potential impact of several proceedings. The Israeli claim is in mediation. A Delaware court denied the controlling shareholder’s motion to dismiss a fiduciary-duty case in January 2024, while reserving decision on claims against company officers.
- Tax contingency: Playtika disputes an Israeli tax assessment concerning the Preferred Technology Enterprise regime. Applying the tax authority’s position across open years would imply approximately $133.3 million of additional tax versus the company’s filed or expected returns; the company says its reserves are adequate but final amounts could exceed them. The filing does not provide a clear estimate of the ultimate outcome.
- Other exposures: Significant risks include privacy and cybersecurity regulation, economic pressure on discretionary spending, interest-rate and foreign-exchange movements, acquisition integration, licensed-brand renewals, and substantial indebtedness. The company reported effective internal controls and an unqualified audit opinion on its financial statements and internal control over financial reporting.
Most important facts for investors to verify
- Whether revenue and active-user declines stabilize, especially in social casino games and Slotomania, and whether improved payer conversion and ARPDAU can offset shrinking audiences.
- Performance of acquired Youda and InnPlay games, integration and earnout costs, and whether Redecor incurs further impairment.
- Future tax payments and resolution of the Israeli tax assessment, including potential effects on the effective tax rate and cash flow.
- Developments in platform access, social-casino litigation and regulation, and the resulting effects on distribution, monetization and legal costs.
- Debt-service capacity and refinancing plans as the term loan and revolver approach their 2028 and 2026 maturities; also assess dividend sustainability against cash needs and debt restrictions.
