- Q3 gross margin fell 13.2 percentage points, chiefly reflecting the $36.8 voluntary DASH PDM correction charge, higher U.S. manufacturing and Omnipod 5 costs, and higher Drug Delivery production costs.
- SG&A was $140.4 in Q3 and $443.5 for nine months; R&D was $45.0 and $130.7, respectively. Nine-month SG&A included $27.3 of legal costs, including the Roche settlement and an estimated contract-dispute liability.
- Adjusted EBITDA, a non-GAAP measure, was $62.8 for Q3 and $153.4 for nine months, compared with $55.7 and $143.1 in the respective 2021 periods. The 2022 measure excludes the DASH correction charge and, for nine months, specified legal and CEO transition costs.

Material developments, outlook and risks
- Omnipod 5 began limited U.S. release in February and full market release through retail pharmacies in August. Its indication was expanded to ages two through five; the filing reported CE Mark approval and targeted a first international launch in 2023, with broader rollout in 2024.
- Management expected strong U.S. Omnipod revenue for full-year 2022, relatively level international Omnipod revenue, and lower Drug Delivery revenue. Full-year gross margin guidance was 63%–64%, including the $36.8 correction charge. Management expected R&D and SG&A to increase year over year and capital expenditures to remain relatively level with 2021.
- In October, Insulet issued a voluntary correction notice for Omnipod DASH PDM batteries. The estimated $36.8 liability was accrued in Q3; the company said the estimate depends in part on replacement rates before updated PDMs are available.
- Insulet paid Roche $20.0 in July to settle patent litigation; the case was dismissed with prejudice. A separate in-licensed-IP contract dispute remained unresolved: settlement offers ranged from $5.7 to $36.0, and Insulet accrued $5.7; the company warned the outcome could materially affect results.
- Risks highlighted include supply constraints and inflation, manufacturing ramp costs, foreign-exchange effects, competition from automated insulin delivery systems, reimbursement and market-access challenges, reliance on the Omnipod platform and key suppliers, and product, regulatory and legal exposures. Insulet reported that disclosure controls were effective and no material risk-factor changes had occurred since its 2021 Form 10-K.
- After quarter-end, Insulet entered a Malaysia real-estate arrangement involving a $4.0 upfront payment and a $16.1 letter of credit; total undiscounted future lease payments, including the purchase price, were approximately $15.9.
