Material changes and unusual items
- Restatement: The company corrected errors in accounting for over-time contracts. Prior estimates of total labor hours differed materially from actual hours, distorting revenue progress; contract costs had also been improperly deferred rather than recognized as incurred. FY2022 revenue was reduced by $1,122 and net loss increased by $1,781 to $5,419. The restatement also affected quarterly statements through September 2023; FY2022 operating cash flow was unchanged by the restatement.
- Legal settlement: FY2023 included $524 of other non-operating income, including a $525 settlement gain. Separately, the company recorded a $5,000 liability and matching probable insurance receivable at year-end for a claim that settled in June 2024.
- Backlog: Year-end backlog increased 18.0% to $45,165 from $38,278. Critical Power backlog rose to $16,668 from $6,284, primarily reflecting orders for e-Boost mobile charging solutions; Electrical Infrastructure backlog declined to $28,497 from $31,994.
- Customer concentration: Enchanted Rock represented approximately 42% of FY2023 revenue and Sequel Electrical Supply 20%. The 20 largest customers represented approximately 82% of consolidated revenue.
Liquidity, outlook and risks
Management said year-end cash and working capital, together with expected operating cash flows, should fund operations for the 12 months after the financial statements were issued. Cash was down substantially year over year, and FY2023 operations used cash. The company expects continuing spending on operations, capital improvements, product development and promotion; no formal revenue or earnings guidance is provided.
- After year-end, the company sold 919,557 shares through its at-the-market program for approximately $4,986 gross proceeds. Equity issuance provides liquidity but dilutes shareholders. The filing also says Form S-3 offering capacity is restricted by the public-float limitation.
- Management reported operating substantially at capacity in 2023, while citing uncertainty from inflation, interest rates, geopolitical events, customer demand and supply-chain conditions.
- Material weaknesses in financial reporting controls remained unremediated as of December 31, 2023: over-time contract revenue and cost accounting; inventory and related cost of sales; and insufficient accounting staff and segregation of duties. Management concluded internal control over financial reporting and disclosure controls were ineffective. Remediation steps include outside assistance, policy and control updates, training and planned hiring.
- Nasdaq had notified the company of delinquent SEC filings in April and May 2024. The company submitted a compliance plan in June; it could not assure that Nasdaq would accept the plan or that listing compliance would be restored.
- Other key risks include reliance on two major customers, historically loss-making business units, backlog cancellation or non-realization, raw-material and labor costs, competition, and potential litigation or reputational consequences from the restatement. The company said no cybersecurity incident had materially affected results or financial condition through the filing.
