Revenue consisted almost entirely of Roche research-service reimbursements. No clinical, regulatory or commercial milestone revenue was recognized in either period. Operating and net margins were deeply negative because the company remains development-stage and generates minimal revenue; percentage margins are not meaningful for evaluating recurring economics.

At March 31, 2017, cash and cash equivalents were $506.6 million, compared with $386.9 million at December 31, 2016. Working capital was $480.5 million, compared with $350.3 million at year-end 2016. Total assets were $582.0 million, total liabilities were $85.7 million and shareholders’ equity was $496.2 million. The filing reports no conventional interest-bearing debt, but includes a $51.7 million non-current build-to-suit lease obligation and $4.1 million of restricted cash securing a standby letter of credit.

Cash increased by $119.6 million during the quarter. Financing activities provided $159.9 million, primarily from the March 2017 equity offering and $9.9 million from stock-option exercises. Investing activities used $2.4 million, principally for property and equipment purchases.

Material Changes Versus the Prior Comparable Period

  • R&D spending increased by $5.2 million, primarily due to higher personnel and share-based compensation costs, NEOD001 manufacturing expenses and higher clinical-trial costs.
  • NEOD001 R&D expense increased to $18.2 million from $13.2 million; PRX002 expense increased to $2.0 million from $1.4 million; and PRX003 expense increased to $2.6 million from $2.4 million.
  • G&A expense increased by $3.7 million, reflecting higher personnel, consulting and commercial-planning costs, partly offset by a gain related to the former South San Francisco facility lease.
  • Net loss increased by $7.9 million, while loss per share increased from $0.81 to $0.99, partly reflecting higher operating costs and a larger share count.
  • Interest income, net, shifted to expense of $0.4 million from income of $0.3 million, primarily because of interest expense on the build-to-suit property financing obligation.
  • The company completed a March 2017 public offering of 2.7 million ordinary shares at $57.50 per share, generating approximately $150.3 million of net proceeds.
  • The former South San Francisco facility lease was assigned to Merck in January 2017, producing an approximately $2.4 million gain and reducing future lease commitments by approximately $8.4 million.
  • Adoption of ASU 2016-09 produced a $1.9 million excess tax benefit in the quarter and caused certain tax attributes to be recorded as deferred tax assets subject to valuation allowances.

Guidance, Outlook, Risks and Unusual Items

Management expects R&D expenses to increase in 2017, primarily because of the NEOD001 Phase 3 VITAL and Phase 2b PRONTO studies. Management also expects G&A expenses to rise in support of increased R&D, personnel, legal activities and commercial planning.

Management believes available cash and cash equivalents are sufficient to meet obligations for at least the next twelve months. However, the company expects to require substantial additional capital to continue development and prepare for commercialization. Future financing may involve equity dilution, debt obligations or less favorable licensing and collaboration terms.

  • Enrollment in the NEOD001 Phase 2b PRONTO study was completed with 129 patients randomized. The Phase 3 VITAL study had met its original target enrollment of 236 patients, with final randomizations expected in the following weeks.
  • Management stated that Phase 1b PRX002/RG7935 data showed acceptable safety and tolerability, central nervous system penetration and dose-dependent target engagement. The data supported advancing the program into Phase 2, subject to development decisions and risks.
  • Under the Roche collaboration, Prothena recognized $0.3 million of collaboration revenue and recorded $1.3 million of R&D expense for Roche cost-sharing payments, partially offset by $0.8 million of Roche development-cost reimbursements.
  • Prothena relies on Roche for significant development and commercialization activities for PRX002/RG7935 and relies on third-party manufacturers for all clinical supplies.
  • Major risks include clinical-trial failure or delay, regulatory nonapproval, manufacturing and supply interruptions, reliance on Roche and other contractors, intellectual-property challenges, competition, reimbursement limitations, foreign-exchange exposure, adverse tax developments and the need for additional financing.
  • Contractual obligations included the build-to-suit lease, operating leases, purchase commitments and license obligations. The MD&A presents total purchase obligations of $41.7 million, including commitments under a Boehringer Ingelheim letter agreement entered into April 5, 2017 but effective March 31, 2017; the financial-statement note separately reports $20.8 million excluding that commitment.
  • The company reported no material legal proceedings, no defaults on senior securities and no off-balance-sheet arrangements. Management concluded that disclosure controls and procedures were effective as of March 31, 2017.

Investor Verification Checklist

  • Verify the timing and total cost of the NEOD001 VITAL and PRONTO trials, including enrollment, endpoints and expected data-readout milestones.
  • Assess whether the $506.6 million cash balance and projected operating burn support the stated twelve-month liquidity assessment and determine the likely timing and terms of future financing.
  • Reconcile the $20.8 million purchase commitments in the financial-statement note with the $41.7 million amount in MD&A, including the Boehringer Ingelheim commitment.
  • Monitor Roche’s funding, development progress, opt-in or opt-out decisions and termination rights under the PRX002/RG7935 collaboration.
  • Evaluate third-party manufacturing capacity and comparability requirements for NEOD001, PRX002/RG7935, PRX003 and PRX004.
  • Review the build-to-suit lease obligation, minimum cash payments, restricted cash and future facility-related costs.
  • Track share dilution from the March offering, option exercises and outstanding options; 4.4 million options were outstanding at March 31, 2017, with approximately $66.0 million of unrecognized share-based compensation remaining.
