- Sales mix: Q2 power systems sales rose to $54.5 million and transportation to $21.8 million, while industrial sales fell to $45.6 million. For the first half, power systems and transportation grew, but industrial declined. U.S. sales were 79% of first-half revenue.
- Cash flow: First-half operating cash flow was $26.6 million, versus cash used of $30.2 million in the prior-year period. Investing used $1.3 million, primarily for capital expenditures; financing used $21.7 million, principally for debt repayments. Cash, cash equivalents and restricted cash increased $3.6 million to $31.5 million, including $27.8 million of unrestricted cash.
- Liquidity and debt: Total debt obligations were approximately $190.3 million. This included $110.0 million drawn on the revolving facility and approximately $79.8 million of other short-term financing, principally Weichai shareholder loans. Current assets were $242.1 million versus current liabilities of $297.9 million; stockholders’ deficit was $20.1 million.
Changes, outlook and material risks
- Revenue increased 1% in Q2 and 9% for the first half year over year. Higher sales in power systems and transportation were partly offset by lower industrial sales, including weaker material-handling and arbor-care demand.
- Gross margin improved materially, which management attributed primarily to product mix, pricing actions and, for the first half, freight-cost management. Warranty costs were a significant offset: first-half warranty costs were $8.5 million versus $1.9 million a year earlier, including $5.7 million of unfavorable changes in estimates for prior-period warranties.
- Higher effective borrowing rates contributed to interest expense increases of 74% in Q2 and 82% for the first half. Management noted that higher rates could further increase interest costs.
- Going concern: Management concluded that substantial doubt exists about PSI’s ability to continue as a going concern within one year after issuance of the financial statements. Without additional financing, the Company expects it cannot repay debt as it comes due. It plans to seek extensions, amendments, replacement financing or additional liquidity; success is not assured. The $110 million Standard Chartered revolving facility is uncommitted and gives the lender the right to demand repayment at any time. Key maturities include the third Weichai loan in November 2023 and other facilities in 2024. The Company also disclosed covenant-compliance and refinancing uncertainties.
- Management reported easing port congestion but continued inflationary and tariff costs, and import delays tied to compliance with the Uyghur Forced Labor Prevention Act. It cited oil-and-gas market uncertainty, customer demand, supply interruptions and higher interest rates as risks. No specific numerical sales or earnings guidance is provided.
- Contingencies: A specific warranty matter had approximately $1.2 million accrued, and PSI said future claims could exceed its estimate by a potentially material amount. Total accrued product warranty was $22.2 million. Other disclosed matters include a $2.0 million accrual for a biometric-privacy case and approximately $8.8 million accrued for potential reimbursement to the insurer of former executive legal-fee advances. Possible losses in certain other legal matters could not be reasonably estimated.
- The SEC notified PSI in July 2023 that it required no additional information regarding the Company’s remediation under an administrative order. Management said disclosure controls were effective as of June 30, 2023. The filing provides no quantitative financial guidance; it also identifies possible adverse effects from delisting and challenges in obtaining a stock-exchange relisting.
