Gross margin declined 6.7 percentage points, with product margin down 5.3 points and service and subscription margin down 5.4 points. Management attributed margin pressure primarily to higher supply-chain material costs and constraints.
Operating expenses increased 10% to $41.1 million, including higher research and development, sales and marketing, and restructuring costs. Interest expense declined to $2.1 million from $3.9 million. A $1.4 million debt-extinguishment loss related to a term-loan prepayment contributed to the larger net loss.
Financial position and liquidity
- At June 30, 2022, cash and cash equivalents were $26.5 million, versus $5.2 million at March 31, 2022. Current assets were $164.8 million and current liabilities $141.8 million.
- Total liabilities were $290.5 million; stockholders’ deficit was $68.8 million. The balance sheet included $5.0 million of current debt, $17.3 million under the revolving facility, and $69.2 million of long-term debt net of current portion.
- Cash from financing was $44.6 million, principally reflecting $66.3 million net proceeds from a 30 million-share rights offering, partly offset by a $20.0 million term-loan prepayment. The offering increased shares outstanding; 90.6 million were reported at June 30, compared with 60.4 million at March 31.
- The PNC facility had $11.8 million available to borrow. The company reported a $25 million minimum-liquidity covenant and said it was in compliance with debt covenants as of the filing date.
- Operating cash use increased year over year, primarily due to working-capital changes, including a $13.6 million decrease in deferred revenue, which management said reflected seasonal service-contract renewals.
Outlook, risks, and unusual items
- The filing gives no specific quantitative revenue or earnings guidance. Management said supply constraints were expected to remain challenging and could limit shipments against demand. Backlog was $46.8 million at June 30 and $67.2 million at July 31, 2022; management cautioned that timing of large orders affects backlog and that not all of it may be recognized promptly.
- Management cited COVID-related supply disruption, inflation, global economic instability, armed conflicts and trade restrictions as sources of uncertainty, with potential effects on demand, costs, sales cycles, and customer payment capacity.
- On April 25, 2022, amendments to the term loan and revolving facility changed financial covenants and replaced LIBOR-based benchmarks with SOFR-based rates. The revolving commitment increased to $40 million; the fixed-charge coverage covenant was waived through the quarter ending March 31, 2025. The term loan interest rate was 7.01% at June 30.
- Non-cancelable inventory purchase commitments totaled $50.9 million. The company reported $101.5 million of unrecognized tax benefits, including interest and penalties; approximately $10.8 million could potentially be recognized within 12 months as statutes of limitation expire.
- Starboard litigation in Delaware remained in discovery, with trial scheduled for June 2023; Quantum said it could not estimate the possible outcome. The company characterized the potential material adverse effect of the stayed Realtime Data patent case as remote.
- A $0.4 million deemed dividend to common stockholders resulted from an adjustment to warrants triggered by the rights offering. Management reported effective disclosure controls and no material change in internal control during the quarter.

- Whether revenue growth can recover lost gross margin as material, manufacturing, and service-delivery costs evolve.
- Cash burn, seasonal deferred-revenue movements, covenant headroom, and borrowing availability under the amended credit agreements.
- The effects of the rights offering and warrant adjustments on share count and potential dilution, and developments in the Starboard litigation and tax exposures.
