Business context and reporting period
Quantum Corporation (Nasdaq: QMCO) filed its Form 10-K for the fiscal year ended March 31, 2022. This is an annual filing; it does not provide a separate set of fourth-quarter financial results. Quantum sells storage hardware, software, services and tape-media royalties, with a focus on video and other unstructured data.
During FY2022, the company acquired Pivot3’s video-surveillance business and EnCloudEn assets, expanded subscription-based offerings, and refinanced its term loan. It operates as one reporting segment.

Revenue increased 7%. Secondary storage systems rose 32% to $117.7 million; primary storage systems fell 20% to $56.0 million; service and subscription revenue grew 7% to $133.7 million; and royalties rose 3% to $15.4 million. Product gross margin declined 430 basis points, primarily due to higher materials and freight costs and a lower-margin product mix; service and subscription margin fell 300 basis points.
Operating expenses increased 13% to $160.9 million, including higher research and development and sales and marketing spending, partly offset by lower restructuring charges. Interest expense declined to $11.9 million from $27.5 million after refinancing and debt reduction. The reported net loss also reflects refinancing-related debt-extinguishment expense, partly offset by a $10.0 million gain from PPP loan forgiveness.
Working capital was negative: current assets were $145.2 million and current liabilities were $157.8 million. The company reported $17.7 million drawn on its revolving facility and $5.0 million available to borrow at year-end. Operating, investing and financing cash flows were $(33.7) million, $(14.1) million and $20.2 million, respectively. Investing cash use included $7.8 million for acquisitions and $6.3 million for capital expenditures.
Material changes versus the prior comparable period
- Revenue recovered from FY2021’s 13% decline, but gross profit fell $3.7 million and the company shifted from operating income to an operating loss.
- Operating cash use rose substantially, chiefly due to working-capital needs, including increased inventory and prepaid expenses. Manufacturing inventory increased to $33.5 million from $24.5 million.
- Debt refinancing reduced interest expense, but year-end net debt was higher than in FY2021. The company obtained waivers of financial covenants on March 15, 2022 after disclosing it was at risk of noncompliance.
- Supply constraints drove a backlog above $60 million for a second consecutive quarter; approximately 80% was tape products, mostly for hyperscale customers.
Outlook, risks, contingencies and unusual items
- Management provided no specific revenue or earnings guidance. It said supply-chain constraints were expected to remain challenging and limit shipments against customer demand and conversion of backlog into revenue.
- Management stated that working capital, available revolving borrowings and financing—including the April 22, 2022 rights offering—were expected to fund operations for at least one year from the financial-statement issuance date, while noting that additional financing was not assured.
- After year-end, Quantum sold 30 million shares for gross proceeds of $67.5 million and repaid $20.0 million of its term loan. April 25 amendments increased revolving commitments from $30 million to $40 million and revised covenant terms; these subsequent events are not reflected in March 31 balances.
- Key risks include component and tape-drive shortages, inflation and freight costs, dependence on suppliers and sales channels, customer concentration, competition and technology shifts, continued losses and negative operating cash flow, and substantial debt and covenant requirements. The term loan and credit facilities are secured by company assets.
- Non-cancelable inventory purchase commitments were $64.6 million, all shown as due within one year. Contractual obligations totaled $237.9 million, including debt and lease payments.
- The Starboard litigation against Quantum and former officers remains in discovery; Quantum could not estimate the range of possible outcomes. A separate Realtime Data patent case was stayed, and management assessed its potential material adverse effect as remote.
- The company recorded a $32.3 million net loss and $33.7 million of operating cash outflow. The auditor issued an unqualified opinion and reported effective internal control over financial reporting; management also concluded disclosure controls were effective.
Important facts for investors to verify
- Whether supply constraints ease and the reported backlog converts into shipments, revenue and cash receipts.
- Post-year-end financing proceeds, the $20 million debt repayment, remaining liquidity, and compliance with amended debt covenants.
- Cash burn, inventory levels, purchase commitments and the company’s ability to fund operations without further financing.
- The sustainability of revenue growth and margins, including the contribution from acquisitions and subscription offerings.
- Developments in the Starboard litigation and any material changes in other legal or intellectual-property contingencies.
- Dilution from the rights offering, outstanding warrants and equity compensation; the filing reports 101.8 million shares outstanding as of June 1, 2022.
