Quantum Corporation — Form 10-K Summary
Reporting-period note: Although the request identifies “2015 Q4,” this filing is the annual report for the fiscal year ended March 31, 2017. It includes quarterly data for fiscal 2017, including the quarter ended March 31, 2017.
Business context
Quantum sells scale-out tiered storage, data protection, tape automation, disk backup, storage devices and media, services, and technology royalties. Its portfolio includes StorNext, Xcellis, DXi, Scalar and Lattus products. The company operates as one reporting segment and sells through OEMs, distributors, resellers and direct channels. Management is pursuing growth in scale-out storage while controlling costs; tape-based products remain a significant source of revenue.

Product revenue was $322.2 million, service revenue $144.3 million and royalty revenue $38.8 million. Scale-out tiered storage revenue rose 17.6% to $121.4 million; disk backup rose 28.8% to $51.2 million; devices and media rose 33.0% to $60.9 million. Tape automation fell 8.9% to $88.8 million. Service and royalty revenue declined. Product mix, lower high-margin service and royalty revenue, and storage-market discounting weighed on overall gross margin, despite improved product margin.
Current assets were $188.3 million versus current liabilities of $230.4 million, a working-capital deficit of approximately $42.0 million. Cash used in investing was $22.0 million, primarily reflecting a $20.2 million increase in restricted cash; financing activities used $7.9 million. The company reported $46.4 million of excess availability under its revolving facility at year-end, subject to borrowing-base limits and covenants.
Material changes, outlook and risks
- Revenue recovered from FY2016, led by scale-out storage and selected data protection products, but tape automation and LTO royalty revenue continued to face pressure. Top five customers accounted for 29% of revenue; no single customer represented 10% or more.
- Quantum refinanced its Wells Fargo facility in October 2016 with an $80 million revolving facility and a $50 million term loan, and had $18.5 million and $50.0 million outstanding, respectively, at year-end. The facilities are secured by substantially all assets and include financial and liquidity covenants. The company said it was compliant at March 31, 2017.
- The $4.50% convertible notes were due November 15, 2017. At year-end, $63.1 million principal remained; management planned to redeem the balance using facility capacity and operating cash, including a restricted $20 million delayed-draw term loan. Management believed available resources would fund planned needs and debt service for at least 12 months, conditional on meeting margin and expense assumptions.
- Key risks include continued tape-market decline, intense competition and pricing pressure, weak data-protection demand, dependence on indirect channels and concentrated customers, covenant and refinancing risk, and the possibility that cost reductions will not restore sustained profitability. The filing gives no specific forward revenue or earnings guidance.
- Two patent matters were disclosed: Crossroads and Realtime Data. Quantum characterized the likelihood of a material adverse effect from each as remote; outcomes remain subject to litigation. A March 2017 settlement with activist investor VIEX included a board-reconstitution process and an annual meeting planned for August 2017.
- After year-end, Quantum effected a 1-for-8 reverse stock split on April 18, 2017; reported share and per-share data were adjusted. The filing also revised prior-period financial statements for a maintenance-contract cost timing error, which it said was immaterial to prior annual and interim periods; FY2016 and earlier selected figures were revised.
Important facts for investors to verify
- Whether Quantum redeemed or refinanced the remaining convertible notes by their November 2017 maturity, and the resulting debt cost and liquidity position.
- Subsequent covenant compliance, borrowing-base availability, and the restrictions attached to the revolving and term loan facilities.
- Whether growth in scale-out storage and disk backup can offset declining tape automation and royalty revenue while sustaining margins and positive operating cash flow.
- The drivers of the working-capital deficit, the $20 million restricted reserve, and the company’s ability to meet near-term contractual obligations.
- Developments in the Crossroads and Realtime Data cases, the VIEX settlement and board changes, and any material tax or other contingent-liability developments.
