Cash flow and liquidity: For the six months, operating cash flow was $137.9 million, down from $540.4 million, primarily due to lower profitability and working-capital changes. Investing activities used $24.2 million, including capital expenditures; financing activities used $214.3 million, primarily for share repurchases. Cash and cash equivalents were $706.8 million at quarter-end, versus $808.8 million at April 1, 2023. Working capital was approximately $1.591 billion. Management said existing cash, projected operating cash flows and the revolving facility provide sufficient liquidity for short- and long-term needs, while noting demand changes could affect that assessment.
Debt and capital: Long-term debt was $2.049 billion, principally $500 million of 1.750% notes due December 2024, $850 million of 4.375% notes due 2029 and $700 million of 3.375% notes due 2031. No revolving-facility borrowings were outstanding. The facility provides up to $300 million. Its leverage covenant was temporarily amended: maximum leverage was 4.00x for the June and September 2023 quarters, 3.50x for the December 2023 and March 2024 quarters, and is scheduled to return to 3.00x thereafter. Qorvo reported covenant compliance at quarter-end. Six-month repurchases totaled approximately $201.2 million; $1.505 billion remained authorized.
Material changes and segment results
- Management attributed lower consolidated revenue mainly to macroeconomic weakness affecting mass-market smartphones, Wi-Fi, cellular infrastructure, power management and broadband, as well as efforts to reduce channel inventories. Content gains at the largest end customer partly offset the decline.
- Q2 revenue and operating income increased year over year in ACG, to $850.1 million and $284.8 million, respectively. HPA revenue fell 34.3% to $149.8 million, and CSG revenue fell 27.7% to $103.6 million. CSG reported a $27.7 million operating loss.
- Lower production volumes led to sales of inventory with higher unit costs; management also cited average selling price erosion. These factors pressured margins. Lower inventory charges partly offset the Q2 gross-margin decline.
- Qorvo recorded a $48.0 million goodwill impairment in CSG after revised long-term forecasts indicated a reporting unit’s fair value could be below carrying value. Other operating expense also included restructuring and other costs; restructuring charges were $8.4 million for Q2 and $31.2 million for the six months.
- In October 2023, Qorvo completed the sale of its non-core biotechnology business. It also amended a foundry capacity agreement, ending wafer-order obligations and providing for termination effective December 31, 2023. A $65.0 million termination fee is expected to be recorded in fiscal Q3 and paid in fiscal Q4.
Outlook, risks and contingencies
The filing provides no specific revenue or earnings guidance. Management cited continued uncertainty in end-market demand and channel inventories. It said additional material charges from the 2023 restructuring initiatives were not expected, apart from disclosed obligations. The company also has approximately $65.7 million of capital commitments, primarily for product capability, equipment and facility upgrades, and cost-saving initiatives.
Risks highlighted include macroeconomic and customer-demand fluctuations, dependence on large customers and successful product design wins, supplier and manufacturing disruptions, inventory exposure and underutilized capacity, competition and pricing pressure, international and China-related trade or regulatory risks, foreign-exchange and tax uncertainty, and the ability to generate cash to service debt. Management stated that unresolved legal proceedings were not expected to have a material adverse effect and that reasonably possible losses beyond accrued amounts were not material. Approximately $572 million of cash was held by foreign subsidiaries; repatriation could incur state or foreign withholding taxes.
