Quanterix Corporation (Nasdaq: QTRX) — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This filing reports annual results; it does not provide a clear standalone fourth-quarter income statement or cash-flow comparison.
Business context
Quanterix develops and sells ultra-sensitive Simoa protein-detection instruments, assays, consumables, and research and laboratory services. Its markets include life-sciences research, pharmaceutical development, and diagnostics. The company reported an installed base of 876 instruments at year-end and more than 1,300 customers. Most products are for research use; it launched a pTau-181 laboratory-developed test in 2022 and an NfL test in January 2023.

Consumables and other product revenue was $44.8 million, compared with $55.1 million; instrument revenue was $25.0 million, compared with $26.0 million. Management attributed the consumables decline primarily to lower production intended to address product-quality issues. Service revenue growth was principally associated with a $10.9 million Lilly collaboration recognized in 2022. The year’s grant revenue was $0.6 million, versus $5.2 million in 2021.
Cash and cash equivalents were $338.7 million at December 31, 2022, down from $396.5 million a year earlier. Current assets were $381.4 million and current liabilities were $31.0 million. The company had no outstanding debt at year-end; its prior loan was repaid in 2021. Operating lease liabilities totaled $44.1 million, and undiscounted future operating lease payments were $59.7 million. Management said available cash and expected commercial cash generation should fund operations for at least 12 months from issuance of the financial statements, while also expecting losses to continue for at least 24 months.
Material changes and unusual items
- In August 2022, Quanterix announced a restructuring that eliminated 119 positions. It recorded $3.8 million of restructuring expense and expects approximately $25 million of annualized operating-expense savings; realization is not assured.
- It recorded $8.2 million of goodwill impairment, eliminating the remaining goodwill balance, and $17.4 million of other impairment expense. The latter included $16.3 million associated with the unused Bedford facilities and $1.1 million for software projects.
- The company decided not to use the 85,800-square-foot Bedford lease signed in 2022 and is considering termination or subleasing. It had recognized $1.3 million of additional lease costs in 2022.
- Product costs rose 20% despite lower product revenue, reflecting higher reserves for excess and discontinued products, among other factors. Product gross margin was also affected by product mix and lower volume.
- Interest income improved to $5.1 million from $0.4 million of expense in 2021, partly reflecting higher interest rates. The prior year included a $2.2 million employee retention tax credit that did not recur.
Outlook, risks, and contingencies
Management expects the assay-improvement program, aimed at improving assay quality and manufacturing scalability, to be completed in 2023. It also plans to pursue translational pharma and clinical markets. The filing does not provide quantitative revenue or earnings guidance. Savings estimates, product-quality improvements, and future market adoption remain uncertain.
- Financial reporting controls: Management and the auditor identified material weaknesses involving inventory, salary and commission accounting, the close and reporting process, and property and equipment. Management concluded disclosure controls and internal control over financial reporting were ineffective at year-end. The financial-statement audit opinion was unqualified, but the auditor issued an adverse opinion on internal control. No material misstatements were reported from the identified weaknesses; remediation efforts were expected to continue through 2023.
- Commercial and operating risks: Product acceptance, assay quality, reliance on neurological assays, lengthy instrument sales cycles, and competition may affect results. One customer represented 13% of 2022 revenue.
- Supply chain: HD-X and SR-X instruments depend on separate single contract manufacturers; certain components and consumables also rely on limited or single-source suppliers.
- Regulatory and reimbursement: Expansion into diagnostics may require regulatory clearance or approval and could face evolving oversight of laboratory-developed tests, reimbursement uncertainty, and added compliance costs. Quanterix’s CSF NfL ELISA kit must meet EU IVD Regulation requirements by May 2027.
- Other exposures: The company remains loss-making, may require future financing, and has $309.7 million of federal NOL carryforwards subject to potential ownership-change limitations. It reported no material pending legal proceedings at year-end.
Investor verification priorities
- Track whether assay-quality improvements are completed on schedule and whether consumables revenue, reserves, and gross margins recover.
- Assess delivery of the projected $25 million annualized savings and the cost or recovery prospects for the unused Bedford lease.
- Review cash burn, available liquidity, and the basis for management’s stated operating runway.
- Monitor remediation and auditor testing of the material weaknesses in financial reporting controls.
- Evaluate customer concentration, particularly the 13% revenue customer, and progress in diagnostic approvals, validation, and reimbursement.
