QuickLogic Corporation — FY2022 Form 10-K
Reporting period: Fiscal year ended January 1, 2023; this is an annual report, not a standalone Q4 report. Amounts below are in U.S. dollars unless noted.
Business context
QuickLogic is a fabless semiconductor and software company focused on low-power AI, voice and sensor processing. Its offerings include semiconductor products, eFPGA intellectual property and related engineering services, and SensiML AI software. It serves consumer and industrial IoT, consumer electronics, and military, aerospace and defense markets.
Financial performance and liquidity
| Metric | FY2022 | FY2021 |
|---|---|---|
| Revenue | $16.18 million | $12.69 million |
| Gross profit / gross margin | $8.80 million / 54% | $7.42 million / 58% |
| Operating loss | $3.80 million | $7.52 million |
| Net loss | $4.27 million | $6.62 million |
| Net loss per share, diluted | $0.34 | $0.57 |
| Net cash used in operating activities | $4.06 million | $2.86 million |
| Cash used in investing activities | $0.81 million | $0.72 million |
| Cash provided by financing activities | $4.47 million | $0.43 million |
- Revenue rose 28%. New-products revenue grew 50% to $11.68 million, while mature-products revenue declined 9% to $4.51 million.
- eFPGA IP revenue was $7.55 million, including approximately $7.4 million from related professional services. New hardware revenue fell 23% to $3.76 million; SaaS and other revenue was $0.37 million.
- Operating expenses fell 16% to $12.60 million. R&D expense declined to $5.00 million, in part because certain labor costs supporting eFPGA services were allocated to cost of revenue.
- Cash, cash equivalents and restricted cash were $19.20 million at year-end. This included $15.0 million drawn under the revolving credit facility; the company also had $0.9 million of finance-lease liabilities. The facility carried an 8.00% rate at year-end, matures December 31, 2024, is secured by substantially all company assets, and had no covenant violations reported.
- Current assets were $27.94 million and current liabilities were $20.02 million. Contract assets increased to $1.99 million from $0.30 million, while accounts receivable rose to $2.69 million from $1.00 million.
Material changes and unusual items
- Revenue growth was primarily driven by eFPGA-related services, partly offset by lower new hardware and mature-products sales. Gross margin declined four percentage points, from 58% to 54%, reflecting product and revenue mix; prior-year eFPGA license revenue had comparatively low associated costs.
- Net loss narrowed by $2.35 million, but operating cash outflow increased by $1.20 million, mainly as business activity and working-capital needs rose.
- FY2021 included a $1.19 million gain from forgiveness of the company’s PPP loan; there was no comparable gain in FY2022.
- QuickLogic raised approximately $4.9 million net from common-stock offerings during FY2022. After year-end, a March 2023 registered direct offering generated approximately $2.3 million net. Shares outstanding increased from 11.86 million at the prior year-end to 13.20 million at FY2022 year-end.
Outlook, risks and contingencies
- Management targeted break-even during FY2023 and expected growth from EOS S3, SensiML AI SaaS and eFPGA IP licensing. It also cautioned that losses could continue in some FY2023 quarters and that achieving sufficient cash flow is uncertain.
- Management said existing cash and available resources under the revolving facility were expected to fund operations and capital expenditures for the next 12 months. Longer-term funding may require additional debt or equity financing; availability and terms are not assured.
- Customer concentration is material: three customers represented approximately 20%, 16% and 12% of FY2022 revenue. Distributor and end-customer disclosures may overlap.
- Manufacturing depends on third parties, often a single supplier for each product. Key risks include supply availability, demand forecasting, product obsolescence, long sales cycles, competition, and the uncertain development of eFPGA and endpoint-AI markets.
- The filing reports $12.9 million of estimated contingent eFPGA procurement commitments, including $4.2 million estimated within 12 months and $8.7 million within two to three years. Timing and actual amounts depend on uncertain variables; these commitments were not recorded as balance-sheet liabilities.
- A ransomware incident detected January 20, 2023 affected a limited number of IT systems, including systems containing employee personal information. Operations continued and critical data was restored; the investigation was ongoing, and management did not expect a material financial or operational impact.
- Inflation, labor and supplier-cost increases could reduce gross profit, and export restrictions could limit certain sales to China. The company reported no material pending legal proceedings. Management assessed disclosure controls and internal control over financial reporting as effective; the auditor did not provide an ICFR opinion.
Important facts for investors to verify
- Whether eFPGA services and licensing, hardware sales, and SensiML subscriptions convert into recurring revenue and improve gross margin.
- Whether operating cash burn and working-capital investment moderate, particularly as contract assets and receivables have increased.
- Liquidity and refinancing capacity given the fully drawn $15.0 million credit facility, its December 2024 maturity, secured status and covenants.
- Customer and supplier concentration, including the overlap between distributor and end-customer revenue disclosures and the timing of contingent procurement commitments.
- FY2023 progress toward management’s break-even target, and any material costs or liabilities identified from the cybersecurity incident.
