uniQure N.V. — Q3 2022 Form 10-Q
Reporting period: Three and nine months ended September 30, 2022. Financial amounts are in U.S. dollars; figures below are in millions unless stated otherwise. uniQure is a gene-therapy company developing treatments for rare and serious diseases. CSL Behring holds exclusive global rights to the hemophilia B therapy etranacogene dezaparvovec.

Revenue in 2022 was primarily collaboration services: $0.7 million from CSL Behring and $0.8 million from BMS in Q3; $2.1 million and $1.6 million, respectively, for the nine-month period. No license revenue was recorded in 2022. The 2021 nine-month comparison includes $462.4 million of license revenue from the CSL Behring transaction. Profit margins are not particularly informative given the company’s development-stage operations and limited recurring revenue.
Q3 net loss widened by $11.3 million year over year, as higher operating expenses more than offset non-operating gains. Nine-month net income in 2021 likewise reflects the one-time license revenue; excluding that transaction, the periods are not directly comparable. Nine-month R&D expense rose $38.1 million, including increased spending on AMT-130, AMT-260 and Fabry, higher personnel and facility costs, and a $7.5 million increase in Corlieve contingent-consideration fair value. SG&A fell $5.5 million, mainly due to lower CSL transaction-related professional and advisory fees.
Cash and cash equivalents were $440.3 million at September 30, 2022, down from $556.3 million at December 31, 2021. Including restricted cash, the balance was $443.4 million. Total assets were $638.2 million and total liabilities were $217.1 million. The company reported $100.0 million of Hercules principal outstanding and $102.4 million of long-term debt on the balance sheet. Nine-month investing cash outflow was $14.5 million and financing inflow was $0.8 million; cash, cash equivalents and restricted cash decreased by $115.9 million, including an $11.9 million adverse currency effect. The filing does not provide quarterly cash flow figures or a gross-margin measure.
Material developments, outlook and risks
- Liquidity outlook: Management expects existing cash to fund operations into the first half of 2025, conditional on achieving a $100 million U.S. first-commercial-sale milestone and a $75 million European milestone by July 1, 2023. These milestones depend on regulatory approval and commercial timing. Management expects expenses to rise as it advances AMT-130 and other programs, develops manufacturing capabilities and pursues preclinical work.
- AMT-130 safety and trial status: Three patients in the European higher-dose study experienced suspected unexpected serious adverse reactions in 2022; all were treated and released, and the reported reactions resolved. Enrollment and dosing were paused pending investigation. Following an October safety review, the DSMB recommended resuming higher-dose treatment with added monitoring measures. The company planned to resume European dosing in Q4 2022 and complete enrollment of the remaining five higher-dose patients in the first half of 2023.
- Hemophilia B / CSL Behring: CSL Behring submitted U.S. and EU marketing applications in March and April 2022. The U.S. application remained under Priority Review; the EMA moved from accelerated to standard review. The Lexington facility received EU GMP certification for commercial supply, and the FDA pre-license inspection was completed. CSL Behring notified uniQure of its intent to transfer manufacturing technology to a designated third party while retaining uniQure as a manufacturer; terms were still under negotiation.
- Cash burn and financing: The cash-runway estimate relies on milestone assumptions. The debt facility requires minimum cash covenants beginning in 2023 and imposes other restrictions; substantially all assets are pledged as collateral. Management said it was in material compliance with debt covenants at quarter-end. Additional financing may be needed and may be unavailable or dilutive or otherwise unfavorable.
- Contingencies and unusual items: The company recorded $42.3 million of net foreign-currency gains for the first nine months, materially reducing reported losses; such gains are exposed to exchange-rate movements and are not operating revenue. Corlieve acquisition milestones include up to $197.2 million in nominal potential development and regulatory payments, with timing and achievement uncertain. A separate $70 million BMS change-of-control payment may be due if specified conditions occur; no triggering transaction had occurred by quarter-end.
- Other risks: Clinical outcomes and gene-therapy safety, regulatory review and approval, manufacturing scale-up and the CSL technology transfer, intellectual-property disputes, foreign-exchange volatility and access to future capital are significant uncertainties. Pfizer’s patent challenges were awaiting a PTAB decision expected around November 2022. Management reported disclosure controls were effective and no material change in internal control over financial reporting during the quarter.
