Uniqure N.V. annual report, FY2022

uniQure N.V. — FY2022 Form 10-K Summary

Reporting period: Fiscal year ended December 31, 2022. This is an annual filing, not a standalone fourth-quarter report. Amounts are in U.S. dollars unless noted.

Business context

uniQure is a gene-therapy company focused on rare and serious diseases. HEMGENIX, its hemophilia B therapy, was FDA-approved in November 2022 and EMA-approved in February 2023; CSL Behring holds global commercialization rights, while uniQure manufactures the therapy and is eligible for milestones and royalties. AMT-130 for Huntington’s disease is in Phase I/II studies; other programs include preclinical or early-stage candidates for temporal lobe epilepsy, Fabry disease, and ALS.

Financial performance and liquidity

MetricFY2022FY2021
Total revenue$106.5 million$524.0 million
Operating expenses$256.0 million$224.8 million
Operating loss / income$(143.2) million$310.6 million
Net loss / income$(126.8) million$329.6 million
Operating cash flow$(145.1) million$288.0 million
  • Revenue included $100.0 million of license revenue tied to an expected first U.S. sale of HEMGENIX; the milestone had not been collected at year-end and was recorded as a contract asset. FY2022 also included $4.8 million of collaboration revenue and $1.7 million of contract manufacturing revenue. Manufacturing costs were $2.1 million, exceeding that manufacturing revenue.
  • FY2021 revenue included the $450.0 million CSL Behring upfront payment, $12.4 million related to additional covenants, and $55.0 million of regulatory-submission milestones. The sharp year-over-year revenue and earnings decline therefore primarily reflects a large prior-year license transaction, alongside higher 2022 R&D spending.
  • Revenue less cost of revenues was $103.1 million, or approximately 96.9% of revenue; this unusually high figure reflects milestone and license revenue and is not a measure of product-sales economics. The company remained loss-making from operations.
  • R&D expense rose to $197.6 million from $143.5 million, including higher AMT-130 and AMT-260 spending, personnel, facilities, and platform investment. SG&A was $55.1 million, down slightly from $56.3 million.
  • At year-end, cash and cash equivalents were $228.0 million and investment securities were $164.8 million, totaling $392.8 million; restricted cash was an additional $3.2 million. Cash, cash equivalents, and restricted cash in the cash-flow statement totaled $231.2 million. The company invested $163.1 million in government bonds during 2022.
  • Current assets were $476.8 million and current liabilities $75.9 million. Current assets included a $100.0 million CSL contract asset and $124.8 million of current investment securities.
  • Outstanding Hercules loan principal was $100.0 million; carrying value of long-term debt was $102.8 million. The loan bore a 12.2% rate at year-end, has a December 2025 maturity, and the filing reports $44.5 million of future interest and financing-fee payments. Interest-only payments were extended through December 2025 following FDA approval of HEMGENIX.

Material changes and notable developments

  • HEMGENIX received U.S. approval in November 2022 and EU approval in February 2023. uniQure recognized a $100.0 million U.S. first-sale milestone in 2022 based on expected achievement in 2023. A separate $75.0 million EU first-sale milestone was not recognized; it is contingent on a first sale in a specified European country before July 2, 2023. uniQure is also eligible for up to $1.3 billion in additional commercial milestones and tiered royalties up to the low-twenties percentage of net sales.
  • AMT-130 low-dose U.S. cohort data showed a 53.8% mean reduction in CSF mutant huntingtin at 12 months among four treated patients with evaluable data. Three higher-dose patients had suspected unexpected serious adverse reactions; dosing was temporarily paused, then the independent monitoring board recommended resumption in October 2022 after investigation. All three patients’ reported reactions resolved. The small, early-stage dataset does not establish efficacy.
  • BMS gave notice to terminate its collaboration, effective February 21, 2023. Termination eliminated the contractual change-of-control payment obligation to BMS. Revenue from BMS services is not expected to continue after termination.
  • In January 2023, uniQure licensed an SOD1-ALS gene therapy from Apic Bio, paying $10.0 million upfront and committing to up to $43.0 million in milestones plus tiered royalties. Management planned a Phase I/II trial in the second half of 2023.
  • CSL Behring notified uniQure of plans to transfer HEMGENIX manufacturing technology to a designated third party in coming years, while retaining uniQure as a manufacturing source. The parties were negotiating transfer terms.

Outlook, risks, and unusual items

  • Management estimated existing cash and investments would fund operations into 2025, assuming receipt of the $100.0 million U.S. first-sale milestone; achievement of the $75.0 million European milestone by the stated deadline would extend the estimate into the first half of 2025. This runway is conditional, not guaranteed.
  • Management expects expenses to rise as it advances AMT-130 toward pivotal development, progresses AMT-260, AMT-162, and AMT-191, and invests in manufacturing and technology. The company expects continued losses and may need additional capital; no specific profitability guidance is provided.
  • Key risks include clinical-trial safety or efficacy failures and delays, gene-therapy manufacturing and regulatory requirements, dependence on CSL Behring and other third parties, reimbursement and pricing uncertainty, and the need for additional funding. The filing also identifies COVID-related supply and operational disruption, inflation, foreign-exchange exposure, and cybersecurity risks.
  • uniQure is defending patent challenges involving HEMGENIX-related FIX-Padua intellectual property: Pfizer’s challenges to two U.S. patents resulted in adverse Patent Trial and Appeal Board decisions, which uniQure appealed in January 2023; Pfizer also brought proceedings in Canada and the UK. These matters could affect intellectual-property protection.
  • Corlieve-related contingent consideration was valued at $35.3 million at year-end, based in part on a 66% probability that AMT-260 would advance into clinical development. Potential Corlieve milestone commitments total up to $214.1 million nominally, with timing and achievement uncertain.
  • The 2022 results included a $23.2 million foreign-currency gain, $11.7 million interest expense, $7.1 million of R&D expense from the increase in Corlieve contingent consideration, and a $2.8 million gain from derecognizing the BMS change-of-control derivative liability.
  • KPMG issued an unqualified audit opinion on the financial statements and internal controls; no critical audit matters were reported. Management also concluded disclosure controls and internal control over financial reporting were effective as of year-end.

Most important facts for investors to verify

  • Whether and when the $100.0 million U.S. first-sale milestone is collected, and whether the $75.0 million European milestone is achieved before its July 2, 2023 deadline.
  • Actual HEMGENIX launch, manufacturing revenue and costs, royalties, and the financial and operational terms of any manufacturing transfer.
  • Updated AMT-130 safety findings and clinical data, including outcomes following higher-dose resumption and the impact on trial timing.
  • Cash burn and liquidity runway against management’s milestone-dependent estimate, including future financing needs and debt obligations.
  • Progress of AMT-260 and the contingent consideration estimate, and developments in the HEMGENIX patent appeals and foreign proceedings.
