uniQure N.V. — FY 2020 Form 10-K
Reporting period: Fiscal year ended December 31, 2020; the filing also reports unaudited quarterly results. Amounts are in U.S. dollars unless stated otherwise. uniQure is a clinical-stage gene-therapy company and has not generated product-sales revenue.
Financial performance and liquidity
| Metric | 2020 | 2019 |
|---|---|---|
| Revenue | $37.5 million | $7.3 million |
| Research and development expense | $122.4 million | $94.7 million |
| Selling, general and administrative expense | $42.6 million | $33.5 million |
| Operating loss | $125.4 million | $121.1 million |
| Net loss | $125.0 million | $124.2 million |
| Cash used in operating activities | $134.8 million | $98.7 million |
| Cash, cash equivalents and restricted cash at year-end | $247.7 million | $380.7 million |
| Debt principal outstanding at year-end | $35.0 million | $35.0 million |
- Revenue rose by $30.2 million, primarily because the December 2020 BMS agreement amendment led uniQure to recognize $27.8 million of previously deferred license revenue, and BMS designated a target for IND-enabling studies, triggering a $4.4 million milestone.
- Revenue included no CSL Behring upfront payment, milestones or royalties: the transaction remained subject to U.S. antitrust review. The $450 million upfront payment is contingent on closing.
- Quarterly revenue and net loss were $34.1 million and $0.7 million, respectively, in Q4 2020, versus $2.6 million and $41.4 million in Q4 2019. The unusually high Q4 revenue principally reflects the BMS amendment-related revenue recognition.
- Operating expenses increased 28.6% year over year, led by higher R&D spending. Net loss was nearly unchanged, partly because 2020 included $16.4 million of deferred tax income and a $13.6 million foreign-currency loss.
- Investing activities used $9.5 million; financing activities provided $7.4 million, mainly from employee share-plan exercises. No product-sales margin is reported; the filing does not provide a meaningful product gross margin.
- Year-end shareholders’ equity was $243.9 million, total assets $340.4 million, and total liabilities $96.5 million. Accumulated deficit was $784.7 million.
Material changes and business developments
- CSL Behring: The June 2020 agreement grants CSL exclusive global rights to etranacogene dezaparvovec (AMT-061) for hemophilia B. It provides a $450 million upfront payment on closing, up to $1.6 billion in regulatory and commercial milestones, and tiered double-digit royalties of up to the low twenties as a percentage of net sales. Australia and U.K. reviews cleared the transaction; the FTC issued a Second Request in January 2021, extending the U.S. waiting period. Closing was not assured.
- BMS collaboration: The December 2020 amendment limited the collaboration to four active targets and removed BMS’s right to designate targets five through ten, eliminating potential designation-related payments of $16.5 million. BMS may replace up to two targets during a one-year period. A change-of-control payment to BMS may apply under specified terms; uniQure recorded a $2.6 million derivative liability.
- Hercules financing after year-end: On January 29, 2021, the facility was expanded by up to $100 million, taking potential aggregate principal to $135 million. uniQure drew $35 million immediately, with up to $65 million more available subject to conditions and timing. The company also extended the interest-only period on the existing $35 million loan.
- Pipeline prioritization: uniQure selected AMT-190 for Fabry disease for IND-enabling work and deprioritized AMT-180 for hemophilia A.
Outlook, risks and unusual items
- Management estimated that year-end cash and the $100 million 2021 Hercules facility could fund operations, debt obligations and capital needs into the second half of 2022. If the CSL transaction closes and the $450 million payment is received, management estimated runway into the second half of 2024, assuming full repayment of Hercules borrowings by 2023. These estimates are conditional; management expects continued losses and negative cash flow.
- In December 2020, the FDA placed etranacogene dezaparvovec trials, including HOPE-B, on clinical hold following a serious adverse event involving a preliminary diagnosis of hepatocellular carcinoma in one participant. The participant had several other HCC risk factors. UniQure said causation was undetermined and that it did not then anticipate a regulatory-submission timeline impact; the hold’s duration and outcome remained uncertain.
- HOPE-B interim results showed mean FIX activity of 37.2% at 26 weeks among 54 treated patients. Bleeding events fell 83% versus the lead-in period and mean annualized FIX replacement use fell 96%. These are interim clinical findings, not evidence of regulatory approval or commercial performance.
- Key risks include clinical-trial delays or failure, the FDA hold, uncertainty closing the CSL transaction, manufacturing validation and scale-up, dependence on external collaborators and licenses, future financing needs, currency movements, and gene-therapy pricing and reimbursement. COVID-19 also caused operational and clinical-trial disruption, with future effects uncertain.
- Other notable items: the $16.4 million deferred tax benefit followed release of the U.S. deferred-tax valuation allowance, while the Netherlands continued to carry a full valuation allowance. A Dutch employment-related legal proceeding filed in February 2021 was unresolved, and the company said it could not assess the likely outcome.

- The status and resolution of the FDA clinical hold, final molecular analysis of the liver lesion, and subsequent HOPE-B safety and 52-week efficacy data.
- Whether management’s stated cash runway remains achievable after actual operating cash use, debt draws and repayments, and any transaction delay or failure.
- The basis and durability of BMS-related revenue recognized in 2020, particularly the $27.8 million accelerated recognition, and the timing and probability of future milestones.
