Uniqure N.V. annual report, FY2018

uniQure N.V. — FY 2018 Form 10-K

Reporting period: Fiscal year ended December 31, 2018. The filing was signed February 28, 2019. uniQure is a Netherlands-incorporated gene-therapy company with no approved products generating sales; revenue came from collaboration and license arrangements. Amounts below are in U.S. dollars.

Business context and pipeline

The lead program, AMT-061 for hemophilia B, was advancing toward a pivotal Phase III study; first-patient dosing occurred in January 2019, after the reporting period. AMT-130 for Huntington’s disease received FDA IND clearance in January 2019, also after year-end, enabling a planned Phase I/II study. Preclinical programs included AMT-180 for hemophilia A, AMT-190 for Fabry disease, and AMT-150 for SCA3. Bristol Myers Squibb (BMS) partnered programs focused primarily on cardiovascular targets.

There were no product-sale revenues, so product gross margin is not applicable; the filing does not provide a comparable product gross-margin measure. All 2018 revenue—$7.5 million in license revenue and $3.8 million in collaboration revenue—was from BMS. Revenue fell as Chiesi-related collaboration revenue ended following termination of that collaboration in 2017. R&D spending rose primarily with AMT-061 studies and toxicology work. The 2018 loss included a $5.4 million impairment of acquired InoCard research assets, partly offset by a $3.8 million gain from releasing related contingent consideration.

Operating cash use was $76.0 million, versus $64.3 million in 2017; investing cash use was $4.2 million. Financing provided $158.0 million, including $138.4 million net proceeds from a May share offering and $14.8 million from the debt refinancing. Cash and cash equivalents were $234.9 million at year-end; cash, cash equivalents and restricted cash totaled $237.3 million. Management expected available cash to fund operations and capital needs into early 2021. Current assets were $236.6 million and current liabilities $20.0 million.

Debt was $35.0 million principal outstanding under the Hercules facility at year-end; the balance sheet reported $35.5 million of long-term debt, net of applicable accounting adjustments. The amended facility matures June 1, 2023, has an interest-only period through January 2021, potentially extendable to January 2022 if specified conditions are met, and bears a variable rate with an 8.85% floor. Principal and interest are to be repaid in installments thereafter. Shareholders’ equity was $179.6 million and accumulated deficit was $535.5 million.

For Q4 2018, unaudited revenue was $1.6 million and net loss was $21.9 million, compared with Q4 2017 revenue of $2.6 million and net loss of $27.5 million.

Material changes and unusual items

  • Revenue recognition changed to ASC 606 effective January 1, 2018. Adoption reduced deferred revenue and accumulated deficit by $24.9 million at transition; 2018 BMS license revenue was $7.5 million versus $4.2 million under the prior method.
  • The May 2018 public offering issued 5.175 million shares at $28.50 per share, producing approximately $138.4 million net proceeds and increasing shares outstanding.
  • The Hercules refinancing increased the facility from $20 million to $35 million, extended maturity, and added borrowing capacity subject to conditions. The loan is secured by substantially all assets identified in the agreement and includes restrictive covenants.
  • uniQure discontinued work on BMS target S100A1 after a preclinical study showed no heart-function benefit at six months; BMS was expected to select a replacement target. The related acquired InoCard research asset was impaired to zero and contingent consideration was reduced to zero fair value.
  • A third party filed an opposition seeking revocation of uniQure’s European FIX-Padua patent. The company said it intended to defend the patent.

Outlook, commentary and principal risks

Management expected operating losses to increase as it pursued AMT-061 pivotal development, initiated AMT-130 clinical work, advanced preclinical programs, expanded technology and manufacturing capabilities, and built U.S. clinical and regulatory capacity. Additional financing may be needed; management cited equity, debt, collaborations and licensing as possible sources, but no firm additional funding source beyond the BMS collaboration was identified. The cash-runway estimate is an expectation, not a guarantee.

Key risks include clinical failure or delays, limited rare-disease patient populations, uncertain durability and safety of gene therapies, manufacturing scale-up and regulatory compliance, dependence on third-party licenses and BMS decisions, patent challenges, pricing and reimbursement uncertainty, foreign-exchange exposure, and the possibility that additional capital may not be available on acceptable terms. The company had not generated product-sale revenue and had never been profitable. Management and the auditor reported effective internal control over financial reporting; the auditor issued an unqualified opinion on the financial statements and controls.

Investor verification priorities

  • Verify AMT-061 pivotal-trial enrollment, efficacy, safety, durability, and the implications of the small Phase IIb dataset.
  • Track AMT-130 trial initiation and whether clinical evidence supports the preclinical findings.
  • Reassess cash burn, financing needs, and the early-2021 runway estimate against subsequent operating and trial spending.
  • Review Hercules loan terms, cash-location covenant, repayment schedule, collateral, and any additional draw conditions.
  • Monitor BMS target selections, replacement of S100A1, collaboration milestones, and the concentration of revenue with BMS.
  • Follow the FIX-Padua patent opposition and the commercial implications of any adverse decision.
  • Assess the effect of ASC 606 estimates and the 2019 lease-accounting adoption on reported revenue, liabilities, and comparability.
