Revenue consisted of $30.1 million of food and supply sales, $3.6 million of franchise revenue and $8.2 million of company-owned restaurant sales. Company-owned restaurant revenue increased 34.6%, driven by new Pie Five locations, but was insufficient to offset lower food and supply and franchise revenue.

Continuing operations generated a pre-tax loss of $1.6 million and a net loss of $1.1 million after a $0.5 million tax benefit. Discontinued operations produced an additional after-tax loss of $0.1 million, resulting in the reported $1.3 million net loss.

Reported operating margins were pressured by the loss from continuing operations and higher costs. Cost of sales was $35.4 million, franchise expenses were $2.4 million, general and administrative expenses were $4.2 million, and pre-opening expenses were $0.3 million.

Material Changes Versus the Prior Comparable Period

  • Domestic franchisee retail sales decreased 9.4% to $98.2 million, primarily because of a 5.7% decline in average weekly comparable-store sales and domestic buffet closures.
  • International franchisee retail sales increased 18.5% to $19.4 million, primarily due to additional international buffet units.
  • Domestic Pizza Inn buffet units declined from 135 to 114 during the year; total system units declined from 298 to 276.
  • Five company-owned Pie Five units were opened, increasing company-owned Pie Five units from six to 11 at year-end. One company-owned restaurant was closed.
  • A pre-tax, non-cash impairment charge of $0.8 million was recorded for two company-owned Pizza Inn buffet units and one Pie Five unit. The Pie Five unit was expected to be relocated in fiscal 2014.
  • Franchise expenses increased $0.3 million and general and administrative expenses increased $0.4 million, reflecting additional personnel and resources for Pie Five growth.
  • Interest expense increased to $0.2 million from $0.1 million because of higher borrowings and the write-off of capitalized loan costs related to the prior credit facility.
  • The company sold 172,361 shares through an at-the-market offering and received approximately $0.9 million of net proceeds during fiscal 2013.

Debt, Liquidity and Capital Resources

The company entered into a new F&M Bank credit agreement in August 2012 providing for a $2.0 million revolving facility, a $2.0 million fully funded term loan and up to $6.0 million of additional advancing term loans. At June 30, 2013, $1.6 million was outstanding under the funded term loan, $0.9 million under the advancing term loan, and no amount under the revolving facility; an outstanding letter of credit totaled $0.2 million.

The company was in compliance with its loan covenants at year-end. Substantially all assets were pledged as collateral. Management stated that operating cash flow, available credit facilities and proceeds from the ATM offering were expected to fund operations, planned capital expenditures and fiscal 2014 restaurant openings.

Future operating lease commitments totaled approximately $8.5 million, including $1.6 million due in fiscal 2014. The company also had a lease for a previously closed Texas buffet unit and was pursuing sublease or termination alternatives.

Guidance, Outlook, Risks and Unusual Items

  • Management planned continued development of franchised and company-owned Pie Five restaurants in fiscal 2014, including expansion beyond the Dallas/Fort Worth market.
  • As of September 10, 2013, three franchised Pie Five units were open and development agreements covered an additional 105 units with 10 franchisees.
  • Management expected continued Pizza Inn international development, particularly in the Middle East.
  • Key risks include intense restaurant competition, declining domestic comparable-store sales, the ability to select and support qualified franchisees, suitable site availability, restaurant execution, food and labor cost fluctuations, regulatory requirements, franchisee financial distress and dependence on future taxable income to realize deferred tax assets.
  • Legal claims arising in the ordinary course of business were described as either insured or not expected to materially affect results, cash flows or financial condition.
  • The company stated that it had sufficient liquidity for fiscal 2014, but cash flow from operations was below capital expenditures in fiscal 2013 and the business used additional debt and equity proceeds to support expansion.

Investor Verification Checklist

  • Verify the issuer and period: the supplied filing is Pizza Inn Holdings, Inc.’s fiscal 2013 Form 10-K, not Rave Restaurant Group, Inc.’s 2012 fourth-quarter filing.
  • Review the audited financial statements and notes for the $0.8 million impairment, discontinued-operation losses and deferred tax asset realization assumptions.
  • Assess whether Pie Five unit growth can achieve positive store-level and consolidated profitability after pre-opening, depreciation and corporate costs.
  • Reconcile total debt, scheduled maturities, covenant requirements and available borrowing capacity under the F&M facilities.
  • Evaluate the decline in domestic franchise sales and the continued closure of Pizza Inn buffet units.
  • Review the ATM offering, potential future dilution and the company’s stated absence of plans to pay dividends.
