AVITA Medical, Inc. — FY2023 Form 10-K
Reporting period: Fiscal year ended December 31, 2023; filed February 22, 2024. This is an annual report, not a standalone Q4 report, so the filing does not provide clear fourth-quarter-only financial results. Amounts below are in U.S. dollars.
Business context
AVITA Medical is a commercial-stage regenerative medicine company. Its RECELL System prepares a patient’s own skin cells for use in wound treatment. During 2023, the FDA approved RECELL for full-thickness skin defects and repigmentation of stable vitiligo lesions, expanding the company’s addressable markets. The company also sells RECELL for thermal burns and has commercial activity in Japan through COSMOTEC.
Financial performance and liquidity
| Metric | FY2023 | FY2022 |
|---|---|---|
| Revenue | $50.1 million | $34.4 million |
| Commercial revenue | $49.8 million | $34.1 million |
| Gross profit | $42.4 million | $28.4 million |
| Gross margin | 84.5% | 82.4% |
| Operating expenses | $86.4 million | $59.1 million |
| Operating loss | $42.7 million | $27.5 million |
| Net loss | $35.4 million | $26.7 million |
| Net loss per share | $1.40 | $1.07 |
| Cash used in operations | $38.0 million | $19.1 million |
Revenue grew 46%, primarily from deeper utilization within customer accounts, the full-thickness skin-defect launch and Japan sales. Gross margin increased by 2.1 percentage points, which management attributed mainly to higher production and lower shipping costs. Operating expenses rose 46%, led by sales and marketing (up 70%) and research and development (up 50%).
FY2023 net loss included a $9.4 million non-cash foreign-currency translation gain recognized in earnings when foreign subsidiaries were wound down. Other income also included higher investment income; debt issuance and fair-value charges partly offset these items. Net loss therefore does not reflect operating performance alone.
At December 31, 2023, cash and cash equivalents were $22.1 million and marketable securities were $66.9 million. Current assets totaled $104.0 million versus current liabilities of $13.2 million. Stockholders’ equity was $49.1 million, down from $84.7 million a year earlier.
The company borrowed $40.0 million under a five-year senior secured OrbiMed facility in October 2023, receiving net proceeds of $38.8 million. The reported year-end debt fair value was $39.8 million. Interest accrues at the greater of one-month term SOFR or 4%, plus 8%; the reported rate at year-end was 13.34%. The facility is secured by substantially all assets, requires at least $10 million of unrestricted cash and includes revenue-based repayment triggers. Up to a further $50 million is available in two conditional tranches. The company reported compliance with financial covenants at year-end and stated it believed available resources would fund operations for the next 12 months.
Material changes, outlook and risks
- BARDA income declined 56% to $1.4 million as reimbursable clinical trials wound down. The BARDA inventory arrangement ended December 31, 2023; a subsequent modification extended the contract period to September 28, 2025, with emergency access to existing RECELL inventory and an approximately $333,000 maintenance fee.
- RECELL GO’s FDA review was placed on hold pending additional information and testing. Management expected to respond by February 28, 2024; the filing projected approval on May 30 and launch on May 31, 2024, contingent on review timing.
- For vitiligo, AVITA planned post-market and health-economics studies, with publication expected by the end of 2024. The filing describes payor discussions beginning in the first quarter in one section and the second quarter of 2025 in another; initial coverage was anticipated in the fourth quarter of 2025. These are expectations, not guaranteed milestones.
- Management’s stated objective is to grow commercial revenue, expand RECELL adoption in burns and trauma settings, and progress toward positive cash flow and operating profit. No numerical revenue or earnings guidance is provided in the supplied filing text.
- Key risks include continued losses and operating cash burn, high-cost secured debt and covenant restrictions, reimbursement uncertainty, FDA and other regulatory requirements, adoption and sales execution, distributor dependence, and potential manufacturing or supplier disruptions. Management reported effective disclosure controls and internal control over financial reporting; the auditor did not provide an opinion on internal-control effectiveness.
- After year-end, the company entered an exclusive U.S. distribution agreement for PermeaDerm and reported a February 2024 inventory purchase. This is a subsequent event, not FY2023 revenue.
Investor verification points
- Check subsequent quarterly filings for revenue growth, customer adoption in trauma/full-thickness defects, and commercial margins relative to the expanding sales-force cost base.
- Verify actual operating cash burn, cash plus marketable securities, and whether management’s 12-month liquidity assessment remains valid.
- Review OrbiMed debt terms, the current interest rate, revenue thresholds, minimum-cash covenant, repayment premiums, and availability conditions for additional tranches.
- Confirm RECELL GO’s FDA decision and launch status, and track progress toward vitiligo studies and reimbursement; reconcile the filing’s differing payor-discussion timing.
- Assess the extent of the one-time $9.4 million subsidiary-wind-down gain and distinguish recurring operating results from debt fair-value and other non-cash items.
