Royal Gold, Inc. — Form 10-K Summary
Reporting period: Fiscal year ended June 30, 2014. The filing is an annual report, not a 2013 fourth-quarter filing; it also presents unaudited quarterly results, including the quarter ended June 30, 2014.
Business context
Royal Gold acquires and manages precious-metals royalties and metal streams; it does not operate mines. At year-end it held interests in 37 producing, 23 development-stage and 141 exploration-stage properties. Results are principally exposed to gold prices and third-party mine production. Gold accounted for 72% of FY2014 revenue; approximately 85% of revenue came from foreign sources.

Revenue fell 18%; operating income fell 36.5%. Average gold price declined to $1,296/oz from $1,605/oz, with lower average prices also for silver, copper and nickel. Lower production at Andacollo, Voisey’s Bay, Mulatos and Robinson also weighed on revenue; new Mt. Milligan stream revenue and higher Peñasquito production partly offset the declines. Cash flow from operations declined about 15%. Royal Gold reported a 33:1 current ratio and no borrowings under its $450 million revolving facility at year-end.
FY2014 cost of sales was $9.2 million, reflecting Mt. Milligan stream deliveries; depreciation, depletion and amortization rose to $91.3 million from $85.0 million. G&A declined to $21.2 million from $24.0 million. Income-tax expense fell to $19.5 million from $63.8 million, and the effective tax rate to 23.5% from 46.5%, substantially supporting earnings despite weaker revenue.
For the quarter ended June 30, 2014, revenue was $70.1 million, operating income $31.5 million, net income attributable to Royal Gold stockholders $16.6 million and EPS $0.26. In the comparable June 2013 quarter, those figures were $57.3 million, $29.9 million, $10.7 million and $0.16, respectively.
Material changes and transactions
- Mt. Milligan reached commercial production in February 2014. The stream generated $27.2 million of FY2014 revenue; Royal Gold held 7,800 ounces of gold inventory at year-end, including approximately 3,100 ounces purchased on July 2, 2014.
- Royal Gold committed $75 million to a Phoenix Gold project stream, with $30 million paid by year-end and $45 million remaining subject to conditions. The project was then expected by its operator to begin production in mid-2015.
- Acquired a 70% interest in a 2% NSR royalty on parts of El Morro for $35 million, increased its Cortez NVR1 interest for approximately $11.5 million, and acquired a Goldrush royalty for $8 million, including $7 million payable in annual installments.
- Expanded and extended the revolving credit facility from $350 million due in May 2017 to $450 million due in January 2019, with a conditional accordion to $600 million and lower commitment and drawn rates.
- Raised the calendar-year dividend to $0.84 per share from $0.80 in 2013, a 5% increase. The board retains discretion over future dividends.
Outlook, risks and unusual items
- Management said current financial resources and operating cash generation should cover anticipated debt service, overhead and capital needs for the foreseeable future, including remaining Phoenix Gold and Tulsequah Chief commitments. Significant acquisitions could require additional debt or equity financing.
- Operator—not Royal Gold—guidance cited Mt. Milligan calendar-2014 gold production of 185,000–195,000 ounces and throughput of 75%–85% of design capacity by year-end. These are forward-looking estimates, not guarantees.
- Barrick suspended construction at Pascua-Lama in late 2013; restart timing remained uncertain and dependent on economics and legal/regulatory issues. El Morro development had also been suspended, although a court injunction was lifted in April 2014.
- A long-running Voisey’s Bay royalty dispute with Vale concerns royalty calculations. Royal Gold says Vale’s proposed calculation for processing at Long Harbour could substantially reduce payments; the litigation seeks at least $29 million in past damages plus additional damages, interest and costs.
- In July 2014, after fiscal year-end, Royal Gold amended its Tulsequah Chief stream: aggregate advances decreased from $60 million to $55 million, while stream percentages increased. A $45 million commitment remained conditional.
- Other key exposures include volatile metal prices, dependence on third-party operators and their reported production, foreign-country, permitting and environmental risks, and royalty title/calculation disputes. A 10% change in gold price was estimated to change FY2014 revenue by approximately $19 million.
- Royal Gold recognized a $4.5 million other-than-temporary impairment loss on Seabridge securities in FY2014, versus $12.1 million in FY2013. No royalty-asset impairments were reported for FY2014. Ernst & Young issued unqualified opinions on the financial statements and internal control over financial reporting.
Important facts for investors to verify
- Whether Mt. Milligan achieved its expected ramp-up and how its stream deliveries, settlement timing and inventory translated into cash revenue.
- Progress, funding and production timing for Phoenix Gold; and satisfaction of conditions for remaining Phoenix and Tulsequah payments.
- Developments at Pascua-Lama and El Morro, including permitting, legal challenges and any restart decisions.
- Outcome and financial impact of the Vale/Voisey’s Bay royalty dispute and Long Harbour royalty calculation.
- Metal-price assumptions, mine production/reserve estimates supplied by operators, and potential impairment sensitivity.
- Debt terms and conversion/redemption provisions for the $370 million principal amount of 2.875% convertible notes due 2019; the reported $311.9 million debt value is the carrying amount, not face principal.
