REGENXBIO Inc. quarterly report, Q2 FY2016

REGENXBIO Inc. — Q2 2016 Form 10-Q

Reporting period: Three and six months ended June 30, 2016; financial statements are unaudited. Unless noted otherwise, dollar amounts below are in millions.

Business context

REGENXBIO develops and licenses AAV gene-therapy technology through its NAV platform. As of June 30, the platform supported 29 product candidates: five internal programs and 24 partner programs. RGX-501 was its only clinical program; other lead candidates remained preclinical. The company had no approved products and no product-sales revenue.

Financial results and liquidity

  • Revenue: Q2 revenue was $2.38, versus $1.36 in Q2 2015. Six-month revenue was $2.77, versus $2.01. Q2 2016 included $2.00 of commercial-license upfront fees; six-month license revenue was $2.57. Reagent sales and grant revenue remained small.
  • Profit and expenses: Q2 operating expenses were $17.33 and operating loss was $14.95; net loss was $14.44, or $0.55 per diluted share. For the six months, operating expenses were $28.97, operating loss $26.20, and net loss $25.21, or $0.96 per diluted share. Research and development expense was $10.68 in Q2 and $16.86 for the half year; general and administrative expense was $6.17 and $11.65, respectively. The company remained loss-making, so operating margins were negative.
  • Cash flow: Operating cash use was $16.32 for the six months, compared with $9.68 in 2015. Investing cash use was $7.85, primarily reflecting purchases of marketable securities and property and equipment. Financing provided $0.13, mainly option exercises; the prior-year period included substantial preferred-stock proceeds.
  • Liquidity and debt: Cash, cash equivalents and marketable securities totaled $198.72 at June 30, down from approximately $216.37 at December 31, 2015. Current assets were $97.91 and current liabilities $9.15. Total liabilities were $9.90; the filing reports no outstanding borrowings. Management said resources could fund planned activities and operations into 2018, while the financial-statement note also stated resources were sufficient for at least the next 12 months.
  • Balance sheet: Total assets were $206.07 and stockholders’ equity was $196.18. Accumulated deficit was $76.83. Outstanding common shares were 26.46 million at June 30.

Material changes versus the prior comparable period

  • Six-month revenue rose $0.76, primarily due to a $2.00 commercial-license upfront fee in 2016; this was partly offset by lower grant revenue and no license milestones in the period.
  • Six-month operating expenses rose $16.68, led by higher R&D spending, staffing and stock-based compensation, clinical-trial work, and public-company costs. Net loss widened by $14.90.
  • Six-month operating cash use increased by $6.64. Cash and securities declined as the company funded operations and shifted funds into marketable securities.
  • Q2 2015 grant revenue included a negative $0.17 out-of-period adjustment for previously overstated grant revenue; the filing characterized the adjustment as immaterial.

Outlook, risks and other notable items

  • Management planned to continue the RGX-501 Phase I/II trial and expected first patient enrollment in the second half of 2016. It expected to file an IND for RGX-314 in Q1 2017 and INDs for RGX-111 and RGX-121 in the first half of 2017.
  • The company expected R&D and G&A spending to increase and anticipated continued losses. It may need additional capital; financing may be unavailable or dilutive, and collaboration or licensing arrangements could require concessions.
  • Key risks include early-stage clinical and preclinical development, patient enrollment, gene-therapy safety and regulatory uncertainty, manufacturing scale-up and reliance on third parties and licensors. No NAV-platform product had been commercialized by the company or its licensees.
  • Revenue was concentrated: one customer accounted for approximately 72% of six-month 2016 revenue. License and milestone income depends on licensee development and commercialization; grant revenue was expected to decline.
  • Future minimum operating-lease payments were $8.84. The company also disclosed contingent license-related fees and indemnification obligations, but no material probable or reasonably possible indemnification claims. Management reported no pending legal action expected to have a material adverse effect.
  • Disclosure controls were assessed as effective, and management said previously identified internal-control material weaknesses had been remediated as of June 30, 2016.

Important facts for investors to verify

  • Whether RGX-501 enrollment and the stated 2017 IND timelines were achieved, and whether development results or regulatory feedback changed expectations.
  • Whether the stated cash runway into 2018 remains valid given rising operating expenses, cash burn, and potential additional clinical and manufacturing costs.
  • The identity and continuity of the customer responsible for approximately 72% of six-month revenue, and the timing and contingency of future license payments.
  • The impact of the 2015 grant-revenue adjustment and the company’s evolving revenue recognition for license arrangements.
  • Progress in sustaining effective financial controls following remediation of the previously identified material weaknesses.
