Product sales growth was primarily driven by higher TAVALISSE volume and price, partly offset by greater rebates and other sales allowances. TAVALISSE sales were $75.8 million; REZLIDHIA contributed $0.9 million after its December 2022 launch. Collaboration revenue fell mainly because the prior year included significant Lilly license revenue; FY 2022 included $25.0 million of Kissei milestones related to Japanese NDA submission and approval.

Research and development expense was $60.3 million, down from $65.2 million. Selling, general and administrative expense rose to $112.5 million from $91.9 million, reflecting commercial expansion and launch activity. Cost of product sales was $1.7 million; it remains affected by inventory costs expensed before product approval, and includes REZLIDHIA amortization and royalty expense. The filing does not present a conventional gross-margin measure as a headline metric.

At year-end, current assets were $115.9 million and current liabilities were $65.2 million, implying working capital of approximately $50.7 million. Total liabilities were $147.9 million versus total assets of $134.3 million, leaving a stockholders’ deficit of $13.6 million. The $40.0 million MidCap loan bears interest at one-month SOFR plus a 5.65% margin and applicable adjustment, subject to a 1.50% floor; maturity is September 2026, with interest-only payments through October 2024. No principal was due within 12 months, and Rigel reported covenant compliance at year-end.

Material developments and outlook

  • FDA approved REZLIDHIA for adults with relapsed or refractory AML with a susceptible IDH1 mutation on December 1, 2022; US commercialization began December 22. The license from Forma includes up to $67.5 million in development and regulatory milestones, up to $165.5 million in commercial milestones, and tiered royalties. A $15.0 million post-approval milestone was payable at year-end and included in accounts payable.
  • Japan’s PMDA approved fostamatinib for chronic ITP in December 2022. The associated $20.0 million Kissei milestone was recognized in FY 2022 and collected in January 2023.
  • The Phase 3 FORWARD trial of fostamatinib in warm autoimmune hemolytic anemia did not meet its primary endpoint; after FDA feedback, Rigel did not file a supplemental application.
  • The FOCUS Phase 3 COVID-19 trial approached but did not reach statistical significance on its primary endpoint (p=0.0603). Secondary endpoints numerically favored fostamatinib. Rigel was evaluating next steps with FDA and the Department of Defense. An NIH-sponsored ACTIV-4 trial remained ongoing.
  • Rigel began a Phase 1b trial of R289 in low-risk MDS, with approximately 22 patients expected to enroll. It also reduced its workforce in October 2022, primarily in development and administration; restructuring charges were $1.3 million.
  • Management stated existing capital resources were expected to fund current and projected requirements, including commercialization, for at least 12 months from the filing’s issuance date. Management also expected continued operating losses at least over the next 12 months and noted that estimates depend on assumptions that may prove incorrect.

Key risks include dependence on TAVALISSE and the newly launched REZLIDHIA, uncertain market uptake and reimbursement, competition, and continued cash consumption. Rigel relies on third parties for manufacturing and distribution. Its TAVALISSE patent litigation with Annora over a proposed generic remains unresolved; an adverse outcome or generic entry could pressure sales. REZLIDHIA’s label includes a boxed warning for potentially fatal differentiation syndrome. Additional financing may be needed and could dilute shareholders; the remaining $20.0 million MidCap tranche was available only through March 31, 2023, subject to conditions.

Important facts for investors to verify

  • Subsequent TAVALISSE and REZLIDHIA sales, launch adoption, rebate levels, and product access and reimbursement.
  • Cash burn, milestone receipts and payments, debt covenant compliance, and whether the company obtained the remaining MidCap tranche or alternative financing.
  • Progress and financial implications of the Annora generic-patent litigation.
  • Further regulatory or clinical updates for fostamatinib in COVID-19, R289 in MDS, and potential additional indications for olutasidenib.
  • Execution of Forma license obligations, including royalties and future milestone payments, and the sustainability of collaboration revenue.
