Financial performance

Amounts below are in millions, except per-share data and percentages.

MetricQ1 FY2023Q1 FY2022
Total revenue$250.7$181.6
Management and advisory services revenue$49.6$46.0
Operating income$20.3$20.1
Net income$14.2$18.3
Net income attributable to RMR Inc.$6.3$8.0
Basic / diluted EPS$0.38 / $0.37$0.49 / $0.49
Net cash from operating activities$28.1$35.0
  • Total revenue rose 38.1%, largely because reimbursable expenses increased 48.4% to $201.1 million; these reimbursements are matched by reimbursable expense and do not represent equivalent growth in underlying fee revenue.
  • Management and advisory services revenue rose 7.9%. Operating income increased 0.9%; operating margin measured against total revenue was approximately 8.1%, versus 11.1%, reflecting the larger reimbursable-revenue mix. Against management and advisory revenue alone, operating income was approximately 40.8% versus 43.7%.
  • Net income attributable to RMR Inc. declined 21.2%. A $5.3 million unrealized loss on equity-method investments, versus a $1.2 million gain a year earlier, more than offset higher interest income, which increased to $1.8 million from $0.1 million. The investment loss primarily reflected TA shares.
  • Cash and cash equivalents were $201.0 million at December 31, 2022, up from $189.1 million at September 30, 2022. Operating cash flow declined $6.9 million year over year, primarily due to unfavorable working-capital changes. Investing activities used $0.9 million; financing activities used $15.3 million, including distributions.
  • Total assets were $564.5 million and total liabilities were $195.2 million. The filing reports no credit facilities and no debt securities issued; reported liabilities include lease obligations, a tax receivable agreement liability and compensation and other payables. No debt balance is reported.

Material changes and management commentary

  • Management services revenue increased primarily from ILPT following its acquisition of Monmouth Real Estate Investment Corporation, and from higher construction-management activity. These gains were partly offset by lower base management fees from OPI and SVC, associated with declines in their enterprise values.
  • Compensation expense increased 7.5%, including $0.4 million of separation costs not recorded in the prior-year quarter. General and administrative expense rose 19.4%, mainly due to technology investments, temporary help, recruiting and professional fees.
  • RMR cited higher interest rates, inflation, increased borrowing costs and reduced real estate transaction activity as factors affecting the business environment. Management said it is pursuing client capital recycling and cost-mitigation measures and may allocate capital toward private-capital growth, operations and technology. No quantified earnings or revenue guidance was provided.
  • RMR declared a $0.40-per-share quarterly dividend in January 2023, payable around February 16, 2023. The filing notes dividends remain at the board’s discretion and may be reduced or eliminated.

Liquidity, risks and contingencies

  • Management said cash was sufficient to fund operations and obligations and support potential capital allocation over the next 12 months. RMR’s liquidity depends heavily on fees collected from a limited number of clients; management reported no historical fee-collection losses.
  • The $25.6 million tax receivable agreement liability requires RMR Inc. to pay ABP Trust 85% of specified realized tax savings; $2.3 million was expected to be paid in fiscal Q4 2023.
  • Key risks include client performance and market capitalization declines, contract termination, rising rates and inflation, recession, and the possibility of lower client revenues, rents or construction activity. Related-party concentration and governance relationships are also important: Adam Portnoy controls ABP Trust, which owns the noncontrolling 47.5% economic interest in RMR LLC, and has roles involving RMR and its clients.
  • The filing reported no material changes to previously disclosed risk factors, no material off-balance-sheet arrangements, and effective disclosure controls.

Important facts for investors to verify

  • How much of reported revenue growth reflects reimbursed pass-through costs versus recurring management and advisory fees.
  • Whether ILPT-related growth and construction-management fees persist, and how lower OPI and SVC market values affect RMR’s fee base.
  • The drivers and potential volatility of fair-value changes in RMR’s SEVN and TA investments.
  • Client concentration, related-party governance and transaction terms, including the tax receivable agreement.
  • Cash-flow conversion, dividend sustainability, and the effect of interest rates, inflation and client borrowing costs on future fees.
